The Company. The Company shall service and administer the EMC Mortgage Loans in accordance with customary and usual standards of practice of prudent mortgage loan servicers in the respective states in which the related Mortgaged Properties are located. In connection with such servicing and administration, the Company shall have full power and authority, acting alone and/or through subservicers as provided in Section 3.03, to do or cause to be done any and all things that it may deem necessary or desirable in connection with such servicing and administration, including but not limited to, the power and authority, subject to the terms hereof (i) to execute and deliver, on behalf of the Certificateholders and the Trustee, customary consents or waivers and other instruments and documents, (ii) to consent to transfers of any related Mortgaged Property and assumptions of the Mortgage Notes and related Mortgages (but only in the manner provided herein), (iii) to collect any Insurance Proceeds and other Liquidation Proceeds, and (iv) subject to Section 3.09, to effectuate foreclosure or other conversion of the ownership of the Mortgaged Property securing any EMC Mortgage Loan; provided that the Company shall take no action that is inconsistent with or prejudices the interests of the Trust Fund or the Certificateholders in any EMC Mortgage Loan or the rights and interests of the Depositor and the Trustee under this Agreement. Without limiting the generality of the foregoing, the Company, in its own name or in the name of the Trust, the Depositor or the Trustee, is hereby authorized and empowered by the Trust, the Depositor and the Trustee, when the Company believes it appropriate in its reasonable judgment, to execute and deliver, on behalf of the Trustee, the Depositor, the Certificateholders or any of them, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge and all other comparable instruments, with respect to the EMC Mortgage Loans, and with respect to the related Mortgaged Properties held for the benefit of the Certificateholders. The Company shall prepare and deliver to the Depositor and/or the Trustee such documents requiring execution and delivery by any or all of them as are necessary or appropriate to enable the Company to service and administer the EMC Mortgage Loans. Upon receipt of such documents, the Depositor and/or the Trustee shall execute such documents and deliver them to the Company. In accordance with the standards of the first paragraph of this Section 3.01, the Company shall advance or cause to be advanced funds as necessary for the purpose of effecting the payment of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans, which advances shall be reimbursable in the first instance from related collections from the Mortgagors pursuant to Section 5.03, and further as provided in Section 5.02. All costs incurred by the Company, if any, in effecting the timely payments of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans and related insurance premiums shall not, for the purpose of calculating monthly distributions to the Certificateholders, be added to the Stated Principal Balance under the related EMC Mortgage Loans, notwithstanding that the terms of such Mortgage Loans so permit.

(i) the resulting Combined Loan-to-Value Ratio of such Mortgage Loan is no higher than the Combined Loan-to-Value Ratio prior to such refinancing; and
(ii) the interest rate, or, in the case of an adjustable rate existing senior lien, the maximum interest rate, for the loan evidencing the refinanced senior lien is no more than 2.0% higher than the interest rate or the maximum interest rate, as the case may be, on the loan evidencing the existing senior lien immediately prior to the date of such refinancing; and
(iii) the loan evidencing the refinanced senior lien is not subject to negative amortization. The Trustee shall furnish the Company and the related Servicer with any powers of attorney and other documents in form as provided to it necessary or appropriate to enable the Company and the related Servicer to service and administer the related Mortgage Loans and REO Property, to execute and deliver instruments of satisfaction or cancellation, or of partial or full release or discharge, and to foreclose upon or otherwise liquidate Mortgaged Property, and to appeal, prosecute or defend in any court action relating to the Mortgage Loans or the Mortgaged Property, in accordance with the related Servicing Agreement and this Agreement.

In connection with such servicing and administration, the Company shall have full power and authority, acting alone and/or through subservicers as provided in Section 3.03, to do or cause to be done any and all things that it may deem necessary or desirable in connection with such servicing and administration, including but not limited to, the power and authority, subject to the terms hereof (i) to execute and deliver, on behalf of the Certificateholders and the Trustee, customary consents or waivers and other instruments and documents, (ii) to consent to transfers of any related Mortgaged Property and assumptions of the Mortgage Notes and related Mortgages (but only in the manner provided herein), (iii) to collect any Insurance Proceeds and other Liquidation Proceeds, and (iv) subject to Section 3.09, to effectuate foreclosure or other conversion of the ownership of the Mortgaged Property securing any EMC Company Mortgage Loan; provided that the Company shall take no action that is inconsistent with or prejudices the interests of the Trust Fund or the Certificateholders in any EMC Company Mortgage Loan or the rights and interests of the Depositor and the Trustee under this Agreement. Without limiting the generality of the foregoing, the Company, in its own name or in the name of the Trust, the Depositor or the Trustee, is hereby authorized and empowered by the Trust, the Depositor and the Trustee, when the Company believes it appropriate in its reasonable judgment, to execute and deliver, on behalf of the Trustee, the Depositor, the Certificateholders or any of them, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge and all other comparable instruments, with respect to the EMC Company Mortgage Loans, and with respect to the related Mortgaged Properties held for the benefit of the Certificateholders. The Company shall prepare and deliver to the Depositor and/or the Trustee such documents requiring execution and delivery by any or all of them as are necessary or appropriate to enable the Company to service and administer the EMC Company Mortgage Loans. Upon receipt of such documents, the Depositor and/or the Trustee shall execute such documents and deliver them to the Company. In accordance with the standards of the first paragraph of this Section 3.01, the Company shall advance or cause to be advanced funds as necessary for the purpose of effecting the payment of taxes and assessments on the Mortgaged Properties relating to the EMC Company Mortgage Loans, which advances shall be reimbursable in the first instance from related collections from the Mortgagors pursuant to Section 5.03, and further as provided in Section 5.02. All costs incurred by the Company, if any, in effecting the timely payments of taxes and assessments on the Mortgaged Properties relating to the EMC Company Mortgage Loans and related insurance premiums shall not, for the purpose of calculating monthly distributions to the Certificateholders, be added to the Stated Principal Balance under the related EMC Company Mortgage Loans, notwithstanding that the terms of such Mortgage Loans so permit.

Notwithstanding anything in this Agreement to the contrary, the Company shall not make any future advances with respect to a HELOC (other than the Servicing Advances) and the Company shall not (i) permit any modification with respect to any HELOC that would change the Mortgage Rate, reduce or increase the principal balance of any HELOC (except for reductions resulting from actual payments of principal) or change the final maturity date on such HELOC (unless the Mortgagor is in default with respect to the HELOC or such default is, in the judgment of the Company, imminent) or (ii) permit any modification, waiver or amendment of any term of any HELOC that would both (A) effect an exchange or reissuance of such HELOC under Section 1001 of the Code (or Treasury regulations promulgated thereunder) and (B) cause any REMIC created pursuant to the Indenture to fail to qualify as a REMIC under the Code or the imposition of any tax on “prohibited transactions” or “contributions after the startup date” under the REMIC Provisions.

(ii) the interest rate, or, in the case of an adjustable rate existing senior lien, the maximum interest rate, for the loan evidencing the refinanced senior lien is no more than 2.0% higher than the interest rate or the maximum interest rate, as the case may be, on the loan evidencing the existing senior lien immediately prior to the date of such refinancing; and
(iii) the loan evidencing the refinanced senior lien is not subject to negative amortization. Without limiting the generality of the foregoing, the Company, in its own name or in the name of the Trust, the Depositor or the Trustee, is hereby authorized and empowered by the Trust, the Depositor and the Trustee, when the Company believes it appropriate in its reasonable judgment, to execute and deliver, on behalf of the Trustee, the Depositor, the Certificateholders or any of them, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge and all other comparable instruments, with respect to the EMC Mortgage Loans, and with respect to the related Mortgaged Properties held for the benefit of the Certificateholders. The Company shall prepare and deliver to the Depositor and/or the Trustee such documents requiring execution and delivery by any or all of them as are necessary or appropriate to enable the Company to service and administer the EMC Mortgage Loans. Upon receipt of such documents, the Depositor and/or the Trustee shall execute such documents and deliver them to the Company. In accordance with the standards of the first paragraph of this Section 3.01, the Company shall advance or cause to be advanced funds as necessary for the purpose of effecting the payment of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage LoansLoans which are not Second Lien Group II HELOCs, which advances shall be reimbursable in the first instance from related collections from the Mortgagors pursuant to Section 5.035.04, and further as provided in Section 5.02. All costs incurred by the Company, if any, in effecting the timely payments of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans which are not Second Lien Group II HELOCs and related insurance premiums shall not, for the purpose of calculating monthly distributions to the Certificateholders, be added to the Stated Principal Balance under the related EMC Mortgage LoansLoans which are not Second Lien Group II HELOCs, notwithstanding that the terms of such Mortgage Loans so permit. The Company shall only be required to maintain records relating to the payment of taxes, or deposit or retain any collections from the Mortgagors for the payment of taxes, assessments, insurance premiums or comparable items, with respect to the First Lien Group II HELOCs if the Company is aware of the first lien position of such First Lien Group II HELOC. The Company shall not be required to maintain records relating to the payment of taxes, or deposit or retain any collections from the Mortgagors for the payment of taxes, assessments, insurance premiums or comparable items, with respect to the Second Lien Group II HELOCs. If the Mortgage relating to a Mortgage Loan other than a Group II HELOC had a lien senior to the Mortgage Loan on the related Mortgaged Property as of the Cut-off Date, then the Company may consent to the refinancing of the prior senior lien, provided that the following requirements are met:
(i) the resulting Combined Loan-to-Value Ratio of such Mortgage Loan is no higher than the Combined Loan-to-Value Ratio prior to such refinancing; and
(ii) the interest rate, or, in the case of an adjustable rate existing senior lien, the maximum interest rate, for the loan evidencing the refinanced senior lien is no more than 2.0% higher than the interest rate or the maximum interest rate, as the case may be, on the loan evidencing the existing senior lien immediately prior to the date of such refinancing; and
(iii) the loan evidencing the refinanced senior lien is not subject to negative amortization. The Trustee shall furnish the Company and each Servicer with any powers of attorney and other documents in form as provided to it necessary or appropriate to enable the Company and each Servicer to service and administer the related Mortgage Loans and REO Property, to execute and deliver instruments of satisfaction or cancellation, or of partial or full release or discharge, and to foreclose upon or otherwise liquidate Mortgaged Property, and to appeal, prosecute or defend in any court action relating to the Mortgage Loans or the Mortgaged Property, in accordance with the Servicing Agreement and this Agreement. With respect to each Group II HELOC, the Company may consent to the placing of a lien senior to that of the Mortgage on the related Mortgaged Property; provided,
(i) the Combined Loan-to-Value Ratio, which may be based on a new appraisal, of the related Group II HELOC immediately following the modification is not greater than the Combined Loan-to-Value Ratio of such Group II HELOC as of the date such Group II HELOC was originated; or
(ii) in the case of any such action that would result in an increase in the Combined Loan-to-Value Ratio over the Combined Loan-to-Value Ratio as of the date such Group II HELOC was originated, the aggregate number of Group II HELOCs with respect to which a new senior lien is consented to by the Company does not exceed 5% of the number of Group II HELOCs as of the Cut-off Date or 30% of aggregate Stated Principal Balance of the Group II HELOCs as of such date, and the Combined Loan-to-Value Ratio after giving effect to the modification does not exceed 100%. With respect to each Group II HELOC, the Company may also, without approval from the Rating Agencies, increase the Credit Limit on a Group II HELOC if such increase is consistent with the Company’s underwriting policies and a new Appraised Value is obtained and the Combined Loan-to-Value Ratio of the Group II HELOC after giving effect to the increase is less than or equal to the Combined Loan-to-Value Ratio of the Group II HELOC as of the Cut-off Date. With respect to each Group II HELOC, the Company may increase the Credit Limits on up to 10% of the number of Group II HELOCs as of the Cut-off Date if the increase in the Credit Limit of any single Group II HELOC does not cause the Combined Loan-to-Value Ratio of such Group II HELOC to exceed 100%. With respect to each Group II HELOC, the Company, without prior approval from the Rating Agencies, the Master Servicer or the Trustee, may solicit Mortgagors for a reduction in Margins on up to 10% of the number of Group II HELOCs as of the Cut-off Date, provided that the cumulative impact of any such Margin reductions shall not result in the reduction of the weighted average Margin of the Group II HELOCs as of the Cut-off Date by more than 25 basis points taking into account any prior reductions. In no event shall the Company modify the maturity of any Group II HELOC to a maturity that is later than the Last Scheduled Distribution Date.

To the extent consistent with the foregoing, the Company shall be permitted to waive a Prepayment Charge only under the following circumstances: (i) such waiver is standard and customary in servicing similar mortgage loans and (ii) such waiver would, in the reasonable judgment of the Company, maximize recovery of total proceeds taking into account the value of such Prepayment Charge and the related EMC Mortgage Loan. The Company. Notwithstanding anything in this Agreement to the contrary, the Company shall not make any future advances with respect to a HELOC (other than the Servicing Advances) and the Company shall not (i) permit any modification with respect to any HELOC that would change the Mortgage Rate, reduce or increase the principal balance of any HELOC (except for reductions resulting from actual payments of principal) or change the final maturity date on such HELOC (unless the Mortgagor is in default with respect to the HELOC or such default is, in the judgment of the Company, reasonably foreseeable) or (ii) permit any modification, waiver or amendment of any term of any HELOC that would both (A) effect an exchange or reissuance of such HELOC under Section 1001 of the Code (or Treasury regulations promulgated thereunder) and (B) cause any REMIC created pursuant to the Indenture to fail to qualify as a REMIC under the Code or the imposition of any tax on “prohibited transactions” or “contributions after the startup date” under the REMIC Provisions.

All costs incurred by the Company, if any, in effecting the timely payments of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans which are not Second Lien Group II HELOCs and related insurance premiums shall not, for the purpose of calculating monthly distributions to the Certificateholders, be added to the Stated Principal Balance under the related EMC Mortgage LoansLoans which are not Second Lien Group II HELOCs, notwithstanding that the terms of such Mortgage Loans so permit. The Company shall only be required to maintain records relating to the payment of taxes, or deposit or retain any collections from the Mortgagors for the payment of taxes, assessments, insurance premiums or comparable items, with respect to the First Lien Group II HELOCs if the Company is aware of the first lien position of such First Lien Group II HELOC. The Company shall not be required to maintain records relating to the payment of taxes, or deposit or retain any collections from the Mortgagors for the payment of taxes, assessments, insurance premiums or comparable items, with respect to the Second Lien Group II HELOCs. If the Mortgage relating to a Mortgage Loan other than a Group II HELOC had a lien senior to the Mortgage Loan on the related Mortgaged Property as of the Cut-off Date, then the Company may consent to the refinancing of the prior senior lien, provided that the following requirements are met:
(i) the resulting Combined Loan-to-Value Ratio of such Mortgage Loan is no higher than the Combined Loan-to-Value Ratio prior to such refinancing; and
(ii) the interest rate, or, in the case of an adjustable rate existing senior lien, the maximum interest rate, for the loan evidencing the refinanced senior lien is no more than 2.0% higher than the interest rate or the maximum interest rate, as the case may be, on the loan evidencing the existing senior lien immediately prior to the date of such refinancing; and
(iii) the loan evidencing the refinanced senior lien is not subject to negative amortization. The Trustee shall furnish the Company and the Servicer with any powers of attorney and other documents in form as provided to it necessary or appropriate to enable the Company and the Servicer to service and administer the related Mortgage Loans and REO Property, to execute and deliver instruments of satisfaction or cancellation, or of partial or full release or discharge, and to foreclose upon or otherwise liquidate Mortgaged Property, and to appeal, prosecute or defend in any court action relating to the Mortgage Loans or the Mortgaged Property, in accordance with the Servicing Agreement and this Agreement. With respect to each Group II HELOC, the Company may consent to the placing of a lien senior to that of the Mortgage on the related Mortgaged Property; provided,
(i) the Combined Loan-to-Value Ratio, which may be based on a new appraisal, of the related Group II HELOC immediately following the modification is not greater than the Combined Loan-to-Value Ratio of such Group II HELOC as of the date such Group II HELOC was originated; or
(ii) in the case of any such action that would result in an increase in the Combined Loan-to-Value Ratio over the Combined Loan-to-Value Ratio as of the date such Group II HELOC was originated, the aggregate number of Group II HELOCs with respect to which a new senior lien is consented to by the Company does not exceed 5% of the number of Group II HELOCs as of the Cut-off Date or 30% of aggregate Stated Principal Balance of the Group II HELOCs as of such date, and the Combined Loan-to-Value Ratio after giving effect to the modification does not exceed 100%. With respect to each Group II HELOC, the Company may also, without approval from the Rating Agencies, increase the Credit Limit on a Group II HELOC if such increase is consistent with the Company’s underwriting policies and a new Appraised Value is obtained and the Combined Loan-to-Value Ratio of the Group II HELOC after giving effect to the increase is less than or equal to the Combined Loan-to-Value Ratio of the Group II HELOC as of the Cut-off Date. With respect to each Group II HELOC, the Company may increase the Credit Limits on up to 10% of the number of Group II HELOCs as of the Cut-off Date if the increase in the Credit Limit of any single Group II HELOC does not cause the Combined Loan-to-Value Ratio of such Group II HELOC to exceed 100%. With respect to each Group II HELOC, the Company, without prior approval from the Rating Agencies, the Master Servicer or the Trustee, may solicit Mortgagors for a reduction in Margins on up to 10% of the number of Group II HELOCs as of the Cut-off Date, provided that the cumulative impact of any such Margin reductions shall not result in the reduction of the weighted average Margin of the Group II HELOCs as of the Cut-off Date by more than 25 basis points taking into account any prior reductions. In no event shall the Company modify the maturity of any Group II HELOC to a maturity that is later than the Last Scheduled Distribution Date.

Upon receipt of such documents, the Depositor and/or the Trustee shall execute such documents and deliver them to the Company. With respect to EMC Mortgage Loans affected by a hurricane or other natural disaster, if the Mortgaged Property is located in public and individual assistance counties as designated by the Federal Emergency Management Agency (as set forth on its website at xxx.xxxx.xxx), EMC may, at its sole option, cease collection activities, charging of late fees and credit reporting activities for all Mortgagors in such counties for a period of time, and if reasonably prudent, may extent such period as long as necessary. In addition, EMC may suspend all foreclosure and bankruptcy activity relating to such EMC Mortgage Loans for a period of time, and if reasonably prudent, may extent such period as long as necessary. In accordance with the standards of the first paragraph of this Section 3.01, the Company shall advance or cause to be advanced funds as necessary for the purpose of effecting the payment of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans, which advances shall be reimbursable in the first instance from related collections from the Mortgagors pursuant to Section 5.035.04, and further as provided in Section 5.02. All costs incurred by the Company, if any, in effecting the timely payments of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans and related insurance premiums shall not, for the purpose of calculating monthly distributions to the Certificateholders, be added to the Stated Principal Balance under the related EMC Mortgage Loans, notwithstanding that the terms of such Mortgage Loans so permit. If the Mortgage relating to a Mortgage Loan had a lien senior to the Mortgage Loan on the related Mortgaged Property as of the Cut-off Date, then the Company may consent to the refinancing of the prior senior lien, provided that the following requirements are met:
(i) the resulting Combined Loan-to-Value Ratio of such Mortgage Loan is no higher than the Combined Loan-to-Value Ratio prior to such refinancing; and
(ii) the interest rate, or, in the case of an adjustable rate existing senior lien, the maximum interest rate, for the loan evidencing the refinanced senior lien is no more than 2.0% higher than the interest rate or the maximum interest rate, as the case may be, on the loan evidencing the existing senior lien immediately prior to the date of such refinancing; and
(iii) the loan evidencing the refinanced senior lien is not subject to negative amortization. The Trustee shall furnish the Company and the Servicer with any powers of attorney and other documents in form as provided to it necessary or appropriate to enable the Company and the Servicer to service and administer the related Mortgage Loans and REO Property, to execute and deliver instruments of satisfaction or cancellation, or of partial or full release or discharge, and to foreclose upon or otherwise liquidate Mortgaged Property, and to appeal, prosecute or defend in any court action relating to the Mortgage Loans or the Mortgaged Property, in accordance with the First Horizon Servicing Agreement and this Agreement.

Without limiting the generality of the foregoing, the Company, in its own name or in the name of the Trust, the Depositor or the Trustee, is hereby authorized and empowered by the Trust, the Depositor and the Trustee, when the Company believes it appropriate in its reasonable judgment, to execute and deliver, on behalf of the Trustee, the Depositor, the Certificateholders or any of them, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge and all other comparable instruments, with respect to the EMC Mortgage Loans, and with respect to the related Mortgaged Properties held for the benefit of the Certificateholders. The Company shall prepare and deliver to the Depositor and/or the Trustee such documents requiring execution and delivery by any or all of them as are necessary or appropriate to enable the Company to service and administer the EMC Mortgage Loans. Upon receipt of such documents, the Depositor and/or the Trustee shall execute such documents and deliver them to the Company. In accordance with the standards of the first paragraph of this Section 3.01, the Company shall advance or cause to be advanced funds as necessary for the purpose of effecting the payment of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans, which advances shall be reimbursable in the first instance from related collections from the Mortgagors pursuant to Section 5.035.04, and further as provided in Section 5.02. All costs incurred by the Company, if any, in effecting the timely payments of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans and related insurance premiums shall not, for the purpose of calculating monthly distributions to the Certificateholders, be added to the Stated Principal Balance under the related EMC Mortgage Loans, notwithstanding that the terms of such Mortgage Loans so permit.

The Company. 2.1 The Company shall service hereby accepts the resignation of Resigning Trustee as Trustee, Registrar, and administer Paying Agent under the EMC Mortgage Loans in accordance Indenture and this written notice of resignation.
2.2 The Company hereby appoints Successor Trustee as Trustee, Registrar, and Paying Agent under the Indenture to succeed to, and hereby vests Successor Trustee with, all the rights, powers, trusts, privileges, immunities, duties and obligations of Resigning Trustee under the Indenture with customary like effect as if originally named as Trustee, Registrar, and usual standards of practice of prudent mortgage loan servicers Paying Agent in the respective states in which Indenture.
2.3 The Company hereby represents and warrants to Resigning Trustee and Successor Trustee that:
(a) The Company is a corporation duly and validly organized and existing pursuant to the related Mortgaged Properties are located. In connection with such servicing laws of the State of Maryland.
(b) The Indenture, and administrationeach amendment or supplemental indenture thereto, if any, was validly and lawfully executed and delivered by the Company shall have and is in full power force and authority, acting alone and/or through subservicers as provided effect and the Securities were validly issued by the Company.
(c) No covenant or condition contained in Section 3.03the Indenture has been waived by the Company or, to do or cause the best of the Company’s knowledge, by Holders of the percentage in aggregate principal amount of the Securities required to effect any such waiver.
(d) The Company has authorized certain officers of the Company to: (a) accept Resigning Trustee’s resignation as Trustee, Registrar, and Paying Agent under the Indenture; (b) appoint Successor Trustee as Trustee, Registrar, and Paying Agent under the Indenture; and (c) execute and deliver such agreements, including, without limitation, this Agreement and other instruments as may be done any and all things that it may deem necessary or desirable in connection with such servicing to effectuate the succession of Successor Trustee as Trustee, Registrar, and administrationPaying Agent under the Indenture. Furthermore, including but not limited tothis Agreement has been duly authorized, the power executed and authority, subject to the terms hereof (i) to execute and deliver, delivered on behalf of the Certificateholders Company and the Trusteeconstitutes its legal, customary consents or waivers valid and other instruments and documentsbinding obligation, (ii) to consent to transfers of any related Mortgaged Property and assumptions of the Mortgage Notes and related Mortgages (but only enforceable in the manner provided herein), (iii) to collect any Insurance Proceeds and other Liquidation Proceeds, and (iv) subject to Section 3.09, to effectuate foreclosure or other conversion of the ownership of the Mortgaged Property securing any EMC Mortgage Loan; provided that the Company shall take no action that is inconsistent with or prejudices the interests of the Trust Fund or the Certificateholders in any EMC Mortgage Loan or the rights and interests of the Depositor and the Trustee under this Agreement. (e) All conditions precedent relating to the EMC Mortgage Loansappointment of Wilmington Savings Fund Society, which advances shall be reimbursable in FSB as successor Trustee under the first instance from related collections from the Mortgagors pursuant to Section 5.03, and further as provided in Section 5.02. All costs incurred Indenture have been complied with by the Company, if any, in effecting the timely payments of taxes and assessments on the Mortgaged Properties relating to the EMC Mortgage Loans and related insurance premiums shall not, for the purpose of calculating monthly distributions to the Certificateholders, be added to the Stated Principal Balance under the related EMC Mortgage Loans, notwithstanding that the terms of such Mortgage Loans so permit.
