The Disregarded Entities. For U.S. federal (and applicable state and local) Income Tax purposes, each of the parties intend that the transfer of the Disregarded Entities in exchange for the applicable portion of the Purchase Price allocable to the Disregarded Entities shall be treated as a purchase and sale of an undivided interest in all of the assets of each Disregarded Entity.
