The Merger and Consideration. 1.1 In accordance with the provisions of this Agreement, the WBCA, the Maryland General Corporation Law ("MGCL"), and other applicable law, on the Closing Date (as defined below), Merger Sub shall be merged with and into PSC, which shall be the surviving corporation (hereinafter sometimes referred to as the "SURVIVING CORPORATION") and shall continue its corporate existence under the laws of the state of Maryland as a wholly-owned subsidiary of PDHO. As of the Closing (as defined below) the separate existence of Merger Sub shall cease. On the Closing Date and by virtue of the Merger, all of them issued and outstanding shares of capital stock of PSC shall be automatically canceled and shall entitle the PSC Shareholders to receive the Merger Consideration (as defined below) as set forth in Section 1.2 hereof.

The Merger and Consideration. Upon the terms and subject to the conditions set forth in this Agreement, and in accordance with the Nevada Revised Statutes (the "Nevada Statutes"), Merger Sub shall acquire the Company and then shall be merged with and into the Parent at the Effective Time of the Merger. The Company will become a wholly owned subsidiary of the Parent upon which the Merger Sub shall no long exist, and Parent’s name will change to Merger Sub’s name, pursuant to section 92A.180 of the Nevada Statutes. The Merger Sub shall issue to the Sellers and their designees, (1) 100 shares or such number of shares of the common stock of the Merger Sub which shall constitute no more than 10% ownership interest in the Merger Sub and which shall be converted into approximately 16,150,000 shares of the Parent Common Stock (after the split pursuant to section 1.08 below is effected) in exchange for all the shares of the capital stock of the Company. Upon the completion of the Merger, the Sellers and their designees shall own 95% of Parent Common Stock issued and outstanding.

Subject to and in conjunction with the Closing of the Merger and immediately after the Closing of the Merger, Techno shall sign a stock purchase agreement (the “Techno Stock Purchase Agreement”) with certain shareholders of the Parent indicated in the Techno Stock Purchase Agreement pursuant to which the forgoing mentioned shareholders of the Parent shall sell 3,384,000 shares of Parent’s Common Stock to Techno for US$140,000 (the “Techno Consideration”) and Techno shall purchase the 3,384,000 shares of Parent’s Common Stock from such shareholders; and Leading Pioneer Limited, a British Virgin Islands company (the “Pioneer”) shall sign a stock purchase agreement (the “Pioneer Stock Purchase Agreement”, together with the Techno Stock Purchase Agreement, the “Purchase Agreements”) with certain shareholders of the Parent indicated in the Pioneer Stock Purchase Agreement pursuant to which the forgoing mentioned shareholders of the Parent shall sell 846,000 shares of Parent’s Common Stock to the Pioneer for US$35,000 (the “Pioneer Consideration,” together with the Techno Consideration, the “Cash Consideration”) and Pioneer shall purchase 846,000 shares of Parent’s Common Stock from such shareholders.
