Common use of The Other Placing Agreement Clause in Contracts

The Other Placing Agreement. The parties hereto hereby acknowledge that on even date, the parties hereto have entered into an agreement for the placing by the Placing Agent on a fully underwritten basis up to 3,660 million existing Shares and the subscription by the Vendor of such number of new Shares as is equal to the number of Shares placed under that agreement (the "Other Placing Agreement"). The parties hereto hereby agree that all Shares placed by the Placing Agent on behalf of the Vendor shall be deemed to be Shares placed under the Other Placing Agreement (up to maximum number of the placing shares as defined in the Other Placing Agreement) and thereafter, under this Agreement. Similarly, any allotment and issue of new Shares by the Company to the Vendor shall first be made to satisfy obligations of the Company to issue the Subscription Shares as defined in the Other Placing Agreement.
