The Syndication Strategy Letter. This document deals with the critical role to achieve the credit agreement, as it sets forth the basis under which the syndication will be put together. The syndication letter, as the commitment letter, will set forth the exclusivity of the parties. The most important section in this document, is the “syndication” provision which will establish the rights of syndication of the arranger, the lead bank in charge of securing the funds from other lenders, of all or parts of the loan and the obligations of the borrower to assist the arranger in this process. Such obligations may include making available representatives of the borrower to participate in presentations (the so called “roadshows”) and in meetings with, potential lenders. Other obligations include: providing all the information that may reasonably be requested for purposes of the syndication, sometimes defined as the “information package” (e.g. to explain political measures in case of a sovereign state or financial information/market strategies in case of private equity). The syndication may be “underwritten” if the arranger assumes the risk of failure to sell loans or under the “best efforts” standard if the arranger makes best efforts to syndicate but has no liability for failure. Confidentiality may be an issue because sometimes the arrangers or underwriters provide financing to other parties with conflicts of interest or may need to share such information to other parties to arrange the loan. The borrower will try to restrict the sharing of information, and the arrangers on the other hand, will try to be capable of sharing as much information as possible to successfully arrange the loan. If the syndication is underwritten, failure to arrange the loan will constitute a breach, or may oblige the arranger to provide “extra” funding in addition to the financing portion or commitment initially projected. In the case of private equity, the arrangers will also commit not to perform any “front running” that is basically market manipulation regarding the price of the shares of the borrower in respect of the confidential information obtained during this arranging process.

  • Sale of Note; Change of Loan Servicer; Notice of Grievance The Note or a partial interest in the Note (together with this Security Instrument) can be sold one or more times without prior notice to Borrower. A sale might result in a change in the entity (known as the “Loan Servicer”) that collects Periodic Payments due under the Note and this Security Instrument and performs other mortgage loan servicing obligations under the Note, this Security Instrument, and Applicable Law. There also might be one or more changes of the Loan Servicer unrelated to a sale of the Note. If there is a change of the Loan Servicer, Borrower will be given written notice of the change which will state the name and address of the new Loan Servicer, the address to which payments should be made and any other information RESPA requires in connection with a notice of transfer of servicing. If the Note is sold and thereafter the Loan is serviced by a Loan Servicer other than the purchaser of the Note, the mortgage loan servicing obligations to Borrower will remain with the Loan Servicer or be transferred to a successor Loan Servicer and are not assumed by the Note purchaser unless otherwise provided by the Note purchaser. Neither Borrower nor Lender may commence, join, or be joined to any judicial action (as either an individual litigant or the member of a class) that arises from the other party’s actions pursuant to this Security Instrument or that alleges that the other party has breached any provision of, or any duty owed by reason of, this Security Instrument, until such Borrower or Lender has notified the other party (with such notice given in compliance with the requirements of Section 15) of such alleged breach and afforded the other party hereto a reasonable period after the giving of such notice to take corrective action. If Applicable Law provides a time period which must elapse before certain action can be taken, that time period will be deemed to be reasonable for purposes of this paragraph. The notice of acceleration and opportunity to cure given to Borrower pursuant to Section 22 and the notice of acceleration given to Borrower pursuant to Section 18 shall be deemed to satisfy the notice and opportunity to take corrective action provisions of this Section 20.

  • Suspension or Debarment Instructions Instructions for Certification 1. By answering yes to the next Attribute question below, the vendor and prospective lower tier participant is providing the certification set out herein in accordance with these instructions. 2. The certification in this clause is a material representation of fact upon which reliance was placed when this transaction was entered into. If it is later determined that the prospective lower tier participant knowingly rendered an erroneous certification in addition to other remedies available to the federal government, the department or agency with which this transaction originated may pursue available remedies, including suspension and / or debarment. 3. The prospective lower tier participant shall provide immediate written notice to the person to which this proposal is submitted if at any time the prospective lower tier participant learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances. 4.   • Exclusion Letter If, at the conclusion of the 30-day period, Progenity fails to satisfy the requirements of Section X.D.3, OIG may exclude Progenity from participation in the Federal health care programs. OIG shall notify Progenity in writing of its determination to exclude Progenity. (This letter shall be referred to as the “Exclusion Letter.”) Subject to the Dispute Resolution provisions in Section X.E, below, the exclusion shall go into effect 30 days after the date of Progenity’s receipt of the Exclusion Letter.
