In furtherance of the foregoing, each of the Borrower and the Administrative Agent agree that it will enter into any amendment to this Agreement requested by the Arranger in compliance with the terms of the Fee and Syndication Letter.
Notwithstanding the foregoing or any other provision in any Loan Document, the Borrower shall execute any amendment to this Agreement and any other Loan Document to the extent required to comply with the terms of the Fee and Syndication Letter.
All fees then due and payable under this Agreement or pursuant to the Fee and Syndication Letter shall have been paid, in each case, to the extent required by the Fee and Syndication Letter or this Agreement to be paid on or prior to the Effective Date (or arrangements satisfactory to the Administrative Agent shall otherwise have been made with respect thereto).

We reserve the right to employ the services of one or more of our affiliates in providing services contemplated by this Fee and Syndication Letter and to allocate, in whole or in part, to such affiliates certain fees payable to us in such manner as we and our affiliates may agree.
