The User shall a) Indemnify and hold Xxxxxxxx-Xxxxxx School District; its agents, servants and employees; harmless from all liability for any injury or damage which occurs on any property or in any facility made available to the User by the Xxxxxxxx-Xxxxxx School District pursuant to this agreement and which occurs during the course of any program or activity sponsored by the User. The User is under no obligation to indemnify and hold the Xxxxxxxx-Xxxxxx School District harmless for liability for any negligence on the part of the Xxxxxxxx-Xxxxxx School District. The User’s promise to indemnify and hold harmless also includes an obligation to assume full responsibility and expense of investigation, litigation, judgment, and /or settlement of any complaint, claim or legal action.

  • Customer Content As part of the Services provided under this Agreement, Customer Data will be stored and processed in the data center region specified in the applicable Ordering Document. Axway shall not access Customer Content except in response to support or technical issues where Customer provides Axway with prior Customer’s written authorization required to access such Customer Content. Axway is not responsible for unauthorized access, alteration, theft or destruction of Customer Content arising from Customer’s own or its authorized users’ actions or omissions in contravention of the Documentation. Customer’s ability to recover any lost data resulting from Axway’s misconduct is limited to restoration by Axway from the most recent back-up.

  • End Users Customer will control access to and use of the Products by End Users and is responsible for any use of the Products that does not comply with this Agreement.

  • The Contractor A general contractor shall be retained by Tenant to construct the Improvements. Such general contractor (“Contractor”) shall be selected by Tenant from a list of general contractors supplied by Landlord, and Tenant shall deliver to Landlord notice of its selection of the Contractor upon such selection.
