Third-Party Components in Software Programs. The Company has validly and effectively obtained the right and license to use, copy, modify and distribute the third-party programming and materials contained in the Software Programs and Technical Documentation pursuant to the Software Contracts that are "licenses or sublicenses from third parties (development and/or marketing)" (as described in Section 3.17(vi)(b)(1)) or that are "licenses or sublicenses from third parties (internal use only)"(as described in Section 3.17(vi)(b)(2)). The Software Programs and Technical Documentation contain no other programming or materials in which any third party may claim superior, joint or common ownership, including any right or license. Except as set forth on Schedule 3.19, the Software Programs and Technical Documentation do not contain derivative works of any programming or materials not owned in their entirety by the Company.

Except as otherwise provided in Schedule 5.18, each of Quantime's and Subsidiary's software products and the Technical Documentation contains no other programming or materials in which any third party may claim superior, joint or common ownership, including any right or license, and, do not contain derivative works of any programming or materials not owned in their entirety by either Quantime or Subsidiary.

Except as otherwise provided in SCHEDULE 2.16, DeltaGraph and the Technical Documentation contain no other programming or materials in which any third party may claim superior, joint or common ownership, including any right or license, and, do not contain derivative works of any programming or materials not owned in their entirety by DeltaPoint.

To Seller’s Knowledge, Seller has validly and effectively obtained the right and license to the material third-party software contained in the Technology Assets and Documentation pursuant to the Contracts. To Seller’s Knowledge, the Technology Assets and Documentation contain no other material programming or materials in which any third party may claim superior, joint or common ownership.

The Data Distilleries Entities have validly and effectively obtained the right and license to use, copy, modify and distribute any third-party programming and materials contained in the Data Distilleries Entities' software products and the Technical Documentation pursuant to licenses from third parties as set forth in Section 3.25 of the Shareholder Disclosure Schedule. Except as otherwise provided in Section 3.25 of the Shareholder Disclosure Schedule, the Data Distilleries Entities' software products and the Technical Documentation contain no other programming or materials in which any third party may claim superior, joint or common ownership, including any right or license, and, do not contain derivative works of any programming or materials not owned in their entirety by the Data Distilleries Entities. To the best knowledge of the Shareholders, no Intellectual Property owned and/or licensed to a licensee by any of the Data Distilleries Entities as the licensor is being used or enforced in a manner that would reasonably be expected to result in the abandonment, cancellation or unenforceability of such Intellectual Property.

Except as set forth in Section 2.13 of the SPR Disclosure Schedule, the Software Programs and Technical Documentation contain no programming or materials in which any third party may claim superior, joint or common ownership, including any right or license. Except as set forth in Section 2.13 of the SPR Disclosure Schedule, the Software Programs and Technical Documentation do not contain derivative works of any programming or materials not owned in their entirety by SPR.
