Technology Assets definition

Technology Assets has the meaning set forth in Section 3.10.
Technology Assets means software programs, object and source code, all associated products, know-how and enhancements which together comprise packages called "Brilliant" and/or "Brilliant Accounting" that enables retail, wholesale, distribution, and/or manufacturing enterprises to conduct all their transactions in an integrated, computerized environment and includes all intellectual property rights of every kind in and to such software programs, object and source code, products and know-how, the name "Brilliant" and all associated goodwill.
Technology Assets means all technology-related assets of the Partnership or jointly owned by the Partnership including without limitation all Programming, Technology, and other development tools, software, hardware, middleware and technical know-how; (iii) With respect to all such in-kind distributions, all assets distributed shall be valued at their respective Asset Values (subject to the parenthetical within the first sentence of Section 11.6 above) and the Partnership and the assigning Partner shall assign to the other Partner all of its respective right, title and interest in such assets, including employment agreements; (iv) The assigning Partner agrees to not solicit for hire or hire any employee in any of the groups or performing functions associated with the assets being distributed pursuant to this Section for a period of fifteen (15) months starting from the date of the related in-kind distribution. Upon the liquidation of the Partnership, if any Partner has a deficit balance in its Capital Account (after giving effect to all contributions, distributions and allocations for all fiscal periods, including the fiscal period during which such liquidation occurs), such Partner shall be obligated to contribute to the capital of the Partnership the amount necessary to restore the Capital Account balance to zero as provided in Regulation 1.704- 1(b)(2)(ii)(b)(3).

More Definitions of Technology Assets

Technology Assets means software assets used in the provision of technology-related services by Domino’s to Franchisees.
Technology Assets means all Transferred Assets other than the Manufacturing Assets.
Technology Assets means all tangible items constituting, disclosing or embodying any Intellectual Property Rights, including inventions (whether patentable or not), improvements, Trade Secrets, know how, confidential information, invention disclosures, works of authorship, industrial designs, databases, data collections and compilations, specifications, designs, bills of material, schematics, algorithms, interfaces, routines, tools, devices, techniques, concepts, methods, prototypes, formulae, test plans and results, process technology, codes, codecs, algorithms, reference designs, plans, drawings, blueprints, technical data, topography, mask works, customer lists, customer databases, firmware, Software (in source and object code form), as well as all documentation relating to any of the foregoing.
Technology Assets means all tangible items constituting, disclosing or embodying any Intellectual Property Rights, including all versions thereof and all technology from which such items were or are derived, including but not limited to, inventions (whether patentable or not), improvements, trade secrets, know how, confidential information, invention disclosures, works of authorship, industrial designs, databases, data collections and compilations, specifications, designs, bills of material, schematics, algorithms, interfaces, routines, tools, devices, techniques, concepts, methods, prototypes, formulae, test plans and results, process technology, codes, codecs, algorithms, reference designs, plans, drawings, blueprints, technical data, topography, mask works, customer lists, customer databases, firmware, software (in source and object code form), and Company Products, as well as all documentation relating to any of the foregoing, and Trademarks, domain names, and any tangible embodiments of Intellectual Property Rights in any form.
Technology Assets means all tangible items constituting, disclosing or embodying any Intellectual Property Rights, including but not limited to, inventions (whether patentable or not), improvements, trade secrets, know how, confidential information, invention disclosures, works of authorship, industrial designs, databases, data collections and compilations, specifications, designs, bills of material, schematics, algorithms, interfaces, routines, tools, devices, techniques, concepts, methods, prototypes, formulae, test plans and results, process technology, codes, codecs, algorithms, reference designs, plans, drawings, blueprints, technical data, topography, mask works, customer lists, customer databases, firmware, software (in source and object code form), as well as all documentation relating to any of the foregoing.
Technology Assets means the assets described in Appendix 3.
Technology Assets shall have the meaning set forth in Section 1.1(j).
