Third Party-Owned IT Systems and IT Equipment. The obligations of the Parties with respect to the transfer or replacement of Third Party-owned IT Systems are set forth in the Technology Agreement and the Transition Services Agreement. Except as provided in the Technology Agreement and the Transition Services Agreement, the Buyer shall be solely responsible for purchasing, licensing, or otherwise procuring for itself any Third Party-owned IT Systems or Third Party-owned IT Equipment as may be needed to permit the Buyer to continue to use such Third Party-owned IT Systems or Third Party-owned IT Equipment in connection with the Purchased Assets after the Transition Period.

Except upon the occurrence and during the continuation of a Termination Event, the Administrative Agent and the Lenders agree not to use any such license without giving the Borrower prior written notice.

  • Review Systems The Asset Representations Reviewer will maintain and utilize an electronic case management system to manage the Tests and provide systematic control over each step in the Review process and ensure consistency and repeatability among the Tests.

  • Communications Equipment Members of the board of directors or any committee thereof may participate in and act at any meeting of such board or committee through the use of a conference telephone or other communications equipment by means of which all persons participating in the meeting can hear each other, and participation in the meeting pursuant to this section shall constitute presence in person at the meeting.

The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.
