Time for Approval by Licensor. Licensor shall notify the Licensee in writing of its approval or disapproval of any proposed Licensed Article or Advertising Material submitted to it under Sections 7(b), (c) and (d) within 10 business days after its receipt of the same. If Licensee has not received any such approval or disapproval within such 10-day period, Licensee may notify Licensor by telecopy, receipt of which must be acknowledge in writing, and Licensor will then have 5 business days after receipt of such notice to approve or disapprove of the proposed Licensed Article or Advertising Material. Should Licensor fail to approve any of the submissions furnished it by Licensee within such subsequent 5 business day period, such failure shall be considered to be approval of the submission, provided that Licensee has given Licensor reasonable advance notice of the volume of expected submissions for approval.

Time for Approval by Licensor. Licensor agrees to use reasonable efforts to notify the Licensee in writing of its approval or disapproval of any materials submitted to it under Sections A(2)(b) and A(2)(c) within 20 business days after its receipt of such materials, and agrees, in the case of its disapproval, to notify the Licensee in writing of its reasons for disapproval.

  • Waiver of Notice; Approval of Meeting; Approval of Minutes The transactions of any meeting of Limited Partners, however called and noticed, and whenever held, shall be as valid as if it had occurred at a meeting duly held after regular call and notice, if a quorum is present either in person or by proxy. Attendance of a Limited Partner at a meeting shall constitute a waiver of notice of the meeting, except when the Limited Partner attends the meeting for the express purpose of objecting, at the beginning of the meeting, to the transaction of any business because the meeting is not lawfully called or convened; and except that attendance at a meeting is not a waiver of any right to disapprove the consideration of matters required to be included in the notice of the meeting, but not so included, if the disapproval is expressly made at the meeting.

  • Waiver of Notice; Approval of Meeting Whenever notice to the Members is required to be given under this Agreement, a written waiver, signed by the Person entitled to notice, whether before or after the time stated therein, shall be deemed equivalent to notice.   • Requests for Approval If the Administrative Agent requests in writing the consent or approval of a Lender, such Lender shall respond and either approve or disapprove definitively in writing to the Administrative Agent within ten Business Days (or sooner if such notice specifies a shorter period for responses based on Administrative Agent’s good faith determination that circumstances exist warranting its request for an earlier response) after such written request from the Administrative Agent. If the Lender does not so respond, that Lender shall be deemed to have approved the request.

Either (a) no consent for the Second Lien Loan is required by the holder of the related first lien loan or (b) such consent has been obtained and is contained in the related Mortgage File;
