Title; Brokers; Non-Foreign Person. Seller will transfer and convey the Property to Buyer free and clear of all Encumbrances except for the Permitted Encumbrances. Seller has not incurred any liability or obligation – whether contingent or otherwise – for a brokerage commission, a finder’s fee, or any other similar payment in connection with this Agreement or the Transaction. Seller is not aforeign person” for purposes of Section 1445 of the Internal Revenue Code.
