Title Sponsorship Funds Raised by the City. If the City secures a Title Sponsor prior to the Effective Date, Title Sponsorship Funds from such Sponsorship shall be allocated as follows: the first $3,000,000 of such Sponsorship Funds shall be deposited into the O&M Account at up to $1,000,000 per calendar year. The remaining Title Sponsorship Funds over $3,000,000 shall go toward System expansion and/or a capital reserve account, (a separate sub-fund in SAP), as determined solely by the City. For avoidance of doubt, within the first three (3) calendar years of the Term, the maximum payment to Motivate per calendar year to cover Cumulative Operations Losses from Title Sponsorship Funds is $1,000,000.
