Common use of Title to Goods, Materials, Equipment and Work Clause in Contracts

Title to Goods, Materials, Equipment and Work. The Contractor warrants that title to all Work will pass to the Owner upon the earlier of (i) delivery to the Project Site or any offsite location authorized by the Owner in writing, or (ii) the time of payment for such Work in whole or in part. The Contractor further warrants that upon submittal of its Application for Payment, all Work is and shall remain free and clear of liens, Claims, security interests or encumbrances in favor of the Contractor, Contractor’s personnel, Subcontractors, sub- subcontractors and suppliers, or other persons or entities who might otherwise have any Claim by reason of having provided labor, materials and equipment relating to the Work.
