Title to Project and Legal Proceedings. Original Borrower is the current owner of fee title in the Project. There are no pending or threatened suits, judgments, arbitration proceedings, administrative claims, executions or other legal or equitable actions or proceedings against Original Borrower or the Project, or any pending or threatened condemnation proceedings or annexation proceedings affecting the Project, or any agreements to convey any portion of the Project, or any rights thereto to any person, entity, or government body or agency not disclosed in this Agreement.
Title to Project and Legal Proceedings. Original Borrower is the current owner of fee title in the Project. There are no pending or, to the best of knowledge of Original Borrower, threatened suits, judgments, arbitration proceedings, administrative claims, executions or other legal or equitable actions or proceedings against Original Borrower or the Project, or any pending or, to the best of knowledge of Original Borrower, threatened condemnation proceedings or annexation proceedings affecting the Project, or any agreements to convey any portion of the Project, or any rights thereto to any person, entity, or government body or agency not disclosed in this Agreement.

There are no pending or, to the best of New Borrower's knowledge, threatened suits, unsatisfied judgments, arbitration proceedings, administrative claims, executions or other legal or equitable actions or proceedings against New Borrower, New Property Owner, New Senior Mezzanine Borrower, Maguire LP, the Collateral or the Project.
Title to Project and Legal Proceedings. Other than those matters described on Schedule 2.8 attached hereto, there are no: (a) pending or threatened suits, judgments, arbitration proceedings, administrative claims, executions or other legal or equitable actions or proceedings against Borrower or the Project, (b) liens, mortgages, claims of lien or other encumbrances, other than the Permitted Exceptions against the Project, or (c) pending or threatened condemnation proceedings or annexation proceedings affecting all or any portion of the Project, nor any agreements to convey any portion of the Project, or any rights thereto to any person or entity not disclosed in this Agreement, including, without limitation, any government or governmental agency.

There are no pending or, to the best of New Borrower's knowledge, threatened suits, judgments, arbitration proceedings, administrative claims, executions or other legal or equitable actions or proceedings against New Borrower, New Borrower Sole Member, Cedar LLC, Cedar Fund L.P. and Cedar Fund Ltd.
Title to Project and Legal Proceedings. Original Borrower is the current owner of fee title to the Condominium Units (as defined in the Loan Agreement) and good title and rights in and to the Common Elements of the Condominium (as defined in the Loan Agreement). There are no pending or threatened suits, judgments, arbitration proceedings, administrative claims, executions or other legal or equitable actions or proceedings against Original Borrower or the Project, or any pending or threatened condemnation proceedings or annexation proceedings affecting the Project, or any agreements to convey any portion of the Project, or any rights thereto to any person, entity, or government body or agency not disclosed in this Agreement or the Loan Documents.

Except for the action pending against New Borrower and other parties in the Santa Xxxxx Superior Court, styled Xxxxxx v. Floral Spectrum, Xxxxxx XxXxxxxx, individually and d/b/a Floral ------------------------------------------------------------------------- Spectrum, Xxxxxxx XxXxxxxx individually and d/b/a Floral Spectrum, The Atrium ----------------------------------------------------------------------------- and Does 1 to 20 under Case No. CV769755 (the "Pending Action"), there are no ---------------- -------------- pending or, to the best of Original Borrower's knowledge, threatened suits, judgments, arbitration proceedings, administrative claims, executions or other legal or equitable actions or proceedings against Original Borrower or the Original Borrower General Partner or the Project, or any pending or threatened condemnation proceedings or annexation proceedings affecting the Project, or any agreements to convey any portion of the Project, or any rights thereto to any person or entity not disclosed in this Agreement, including, without limitation, any government or governmental agency.

There are no pending or to Original Borrower's current actual knowledge threatened suits, judgments, arbitration proceedings, administrative claims, executions or other legal or equitable actions or proceedings against Original Borrower or the Project that if decided adversely to Original Borrower would have a material adverse affect on Original Borrower or the Project; or any pending or threatened condemnation proceedings or annexation proceedings affecting the Project; or any agreements to convey any portion of the Project, or any rights thereto to any person or entity not disclosed in this Agreement, including, without limitation, any government or governmental agency.
