Title; UCC Filings. (a) Title to the Consigned Inventory is reserved in MCM until sale of and payment in full to MCM with respect to the Consigned Inventory in accordance with the terms hereof or until such Consigned Inventory is acquired and paid for by Sub pursuant to Section 2.2(c)(ii) hereof. (b) Concurrently with the execution of this Agreement, Sub and/or ARI shall execute and deliver to MCM for filing such UCC-1 financing statements as MCM shall reasonably request showing MCM as consignor and Sub as consignee with respect to the Consigned Inventory (collectively, the "UCC Consignment Statements").
Title; UCC Filings. Xxxxxx is the owner of and will hold title to the Equipment. Lessee will keep, and at Xxxxxx’s sole expense promptly take all actions necessary to keep, each Unit free of all liens and encumbrances. Lessee will not, without Xxxxxx’s prior written consent, affix or install any Unit to or in any other personal property or real property. Xxxxxx agrees that each Lease is intended to be a true lease, and the filing of a financing statement under the Uniform Commercial Code (“UCC”) or other applicable law will not be construed as evidence that any security interest was intended to be created, but only to give public notice of Lessor’s ownership of the applicable Unit and as a precautionary filing in the unlikely event that the Lease were determined to be intended as security. If this Agreement or any Lease is determined at any time to be one intended as security, Lessee grants to Lessor a security interest in each Unit and all proceeds from the sale, lease or other disposition of each Unit. Lessee appoints Lessor or Xxxxxx’s designee as Xxxxxx’s attorney-in-fact to sign and file financing statements covering each Unit on Xxxxxx’s behalf where permitted by the UCC or other applicable law, and to do all other things necessary to protect Xxxxxx’s title and interest in each Unit. Lessee agrees Lessor can file a copy of this Agreement or any Lease as a financing statement under the UCC or other applicable law. Lessee will affix to and maintain on each Unit any markings requested by Lessor showing Xxxxxx’s interest therein.
Title; UCC Filings. Title to any Equipment provided by Cygnus hereunder shall remain with Cygnus or any party with whom Cygnus contracts to obtain the Equipment; CMI shall have no ownership interest in any Supply Specific Equipment or any replacement parts or components installed in the Equipment. Cygnus may display notice of its ownership of the Equipment by affixing to the Equipment an identifying label, or plate or any other indication of ownership and CMI shall not alter or remove any such identification. CMI shall cooperate with Cygnus and shall execute any documents, including UCC filings or other notices, as Cygnus may determine are advisable to document Cygnus' or third-party ownership in the Equipment. CMI shall cooperate with Cygnus to sign any and all security agreements, financing statements, or otherwise, in order to effectuate a bailment lien on the Equipment, and to file such documents at the proper location or locations.

  • UCC Filings If the related Mortgaged Property is operated as a hospitality property, Seller has filed and/or recorded or caused to be filed and/or recorded (or, if not filed and/or recorded, has submitted or caused to be submitted in proper form for filing and/or recording), UCC financing statements in the appropriate public filing and/or recording offices necessary at the time of the origination of the Mortgage Loan to perfect a valid security interest in all items of physical personal property reasonably necessary to operate such Mortgaged Property owned by such Mortgagor and located on the related Mortgaged Property (other than any non-material personal property, any personal property subject to a purchase money security interest, a sale and leaseback financing arrangement as permitted under the terms of the related Mortgage Loan documents or any other personal property leases applicable to such personal property), to the extent perfection may be effected pursuant to applicable law by recording or filing, as the case may be. Subject to the Standard Qualifications, each related Mortgage (or equivalent document) creates a valid and enforceable lien and security interest on the items of personalty described above. No representation is made as to the perfection of any security interest in rents or other personal property to the extent that possession or control of such items or actions other than the filing of UCC financing statements are required in order to effect such perfection.

  • Evidence of UCC Filing On or prior to the Closing Date, the Seller shall record and file, at its own expense, a UCC-1 financing statement in each jurisdiction in which required by applicable law, authorized by and naming the Seller as seller or debtor, naming Ally Auto as purchaser or secured party, naming the Receivables and the other Purchased Property as collateral, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the sale, transfer, assignment and conveyance of such Receivables to Ally Auto. The Seller shall deliver a file-stamped copy, or other evidence satisfactory to Ally Auto of such filing, to Ally Auto on or prior to the Closing Date.

  • Perfection, Etc Subject to the Legal Reservations and Section 5.03, each Collateral Document delivered pursuant to this Agreement will, upon execution and delivery thereof, be effective to create in favor of the Collateral Agent for the benefit of the Secured Parties, legal, valid and enforceable Liens on, and security interests in, the Collateral described therein to the extent intended to be created thereby, except as to enforcement, as may be limited by applicable domestic bankruptcy, insolvency, fraudulent conveyance, reorganization (by way of voluntary arrangement, schemes of arrangements or otherwise), moratorium and other similar laws relating to or affecting creditors’ rights generally, general equitable principles (whether considered in a proceeding in equity or at law) and (a) when financing statements are filed in the offices of the Secretary of State of each Loan Party’s jurisdiction of organization or formation and applicable documents are filed and recorded as applicable in the United States Copyright Office or the United States Patent and Trademark Office and (b) upon the taking of possession or control by the Collateral Agent of such Collateral with respect to which a security interest may be perfected only by possession or control (which possession or control shall be given to the Collateral Agent to the extent possession or control by the Collateral Agent is required by the applicable Collateral Document) the Liens created by the Collateral Documents shall constitute fully perfected Liens so far as possible under relevant law on, and security interests in (to the extent intended to be created thereby and required to be perfected under the Loan Documents), all right, title and interest of the grantors in such Collateral in each case free and clear of any Liens other than Liens permitted hereunder.

(c) If the Transferor makes any change in its jurisdiction of organization (within the meaning of the applicable UCC), name or corporate structure that would make any financing statement or continuation statement filed in accordance with paragraph (a) above seriously misleading within the applicable provisions of the UCC or any title statute, the Transferor shall give the Transferee written notice thereof at least 30 days prior to such change and shall promptly file such financing statements or amendments as may be necessary to continue the perfection of the Transferor’s interest in the Assets.

  • Financing Statements, Etc The Grantor hereby authorizes the Secured Party to file (with a copy thereof to be provided to the Grantor contemporaneously therewith), at any time and from time to time thereafter, all financing statements, financing statement assignments, continuation financing statements, and UCC filings, in form reasonably satisfactory to the Secured Party. The Grantor shall execute and deliver and shall take all other action, as the Secured Party may reasonably request, to perfect and continue perfected, maintain the priority of or provide notice of the security interest of the Secured Party in the Collateral (subject to the terms hereof) and to accomplish the purposes of this Agreement. Without limiting the generality of the foregoing, the Grantor ratifies and authorizes the filing by the Secured Party of any financing statements filed prior to the date hereof that accomplish the purposes of this Agreement.

  • Financing Statements Subject to the Standard Qualifications, each Mortgage Loan or related security agreement establishes a valid security interest in, and a UCC-1 financing statement has been filed and/or recorded (or, in the case of fixtures, the Mortgage constitutes a fixture filing) in all places necessary at the time of the origination of the Mortgage Loan (or, if not filed and/or recorded, has submitted or caused to be submitted in proper form for filing and/or recording) to perfect a valid security interest in, the personal property (creation and perfection of which is governed by the UCC) owned by the Mortgagor and necessary to operate such Mortgaged Property in its current use other than (1) non-material personal property, (2) personal property subject to purchase money security interests and (3) personal property that is leased equipment. Each UCC-1 financing statement, if any, filed with respect to personal property constituting a part of the related Mortgaged Property and each UCC-3 assignment, if any, filed with respect to such financing statement was in suitable form for filing in the filing office in which such financing statement was filed. Notwithstanding anything herein to the contrary, no representation is made as to the perfection of any security interest in rents or other personal property to the extent that possession or control of such items or actions other than the filing of Uniform Commercial Code financing statements is required to effect such perfection.
