Common use of Trade Regulation Clause in Contracts

Trade Regulation. Seller has not (a) terminated its relationship with, (b) been terminated by or (c) refused to provide services to any customer which had theretofore paid or been obligated to pay Seller in excess of $1,000 over any consecutive twelve month period. All of the prices charged by Seller in connection with the marketing or sale of any of its services have been in compliance with all applicable laws and regulations, except for such noncompliance that would not have a Material Adverse Effect on Seller or the Assets. No claims have been asserted or, to the knowledge of Seller, threatened against Seller with respect to unfair competition, false advertising, or any other violation of any laws or regulations relating to anti-competitive practices or unfair trade practices of any kind, and, to the knowledge of Seller, no specific situation, set of facts, or occurrence provides any basis for any such claim, except for such claims that would not have a Material Adverse Effect on Seller or the Assets.
