The Company is in full compliance with the continued designation criteria of the NASDAQ National Market and does not reasonably anticipate that the Common Stock will be delisted from the NASDAQ National Market, whether by reason of the transactions contemplated by this Agreement or the other Transaction Documents and is not aware of any inquiry by or received any notice from the NASD regarding any failure or alleged failure by the Company to comply with such requirements which has not been favorably resolved prior to the date hereof.
Trading on Nasdaq. The Common Stock is authorized for quotation on the Nasdaq National Market, and trading in the Common Stock on Nasdaq has not been suspended. The Company is in full compliance with the continued designation criteria of the Nasdaq National Market, and does not reasonably anticipate that the Common Stock will lose its designation as a Nasdaq National Market Security, whether by reason of the transactions contemplated by this Agreement, the other Transaction Documents or the Certificate of Designation, and is not aware of any inquiry by or received any notice from the National Association of Securities Dealers, Inc. ("NASD") regarding any failure or alleged failure by the Company to comply with such criteria.
Trading on Nasdaq. As of the date of this Agreement, shares of TPT Common Stock are listed for trading on the NASDAQ Global Market and trading in TPT Common Stock on the NASDAQ Global Market has not been suspended.
Trading on Nasdaq. Shares of Parent Common Stock are listed for trading on the NASDAQ Global Market and trading in Parent Common Stock on the NASDAQ Global Market is not suspended.

Stockholder approval for the issuance of the Preferred Shares is not required under NASD Rule 4460.
Trading on Nasdaq. The GGD Stock is authorized for quotation on the Nasdaq National Market, and trading in the GGD Stock on Nasdaq has not been suspended. Shareholder approval for the issuance of the GMO Debentures is not required under NASD Rule 4460.
Trading on Nasdaq. The Parent Common Stock is authorized for quotation on the NASDAQ, and the trading in the Parent Common Stock on NASDAQ has not been suspended.
Trading on Nasdaq. On November 6, 1997, The Nasdaq Stock Market held a hearing concerning the status of the Company's listing as a Nasdaq National Market Security. The Company has been advised by Nasdaq that the Company will be in compliance with the designation criteria of The Nasdaq Stock Market, subject to (i) its filing the Disclosure Documents with the Commission on or before November 19, 1997, (ii) its compliance, as reported in the Disclosure Documents, with all criteria necessary for continued listing on the Nasdaq National Market, other than the net tangible assets requirements, and (iii) its satisfaction of the net tangible assets requirement by February 23, 1998.
