Traffic To Third Party Providers. A Party may utilize the network of the other Party for Transit Traffic to a third party if both the originating Party and the third party have established trunk connections with the transiting party’s switch. The Parties shall compensate each other for Transit Traffic that transits their respective systems to any Third Party Provider, as specified in Attachment 4: Pricing. Each Party agrees to enter into its own agreements with Third Party Providers. ALLTEL agrees that it will not block traffic involving Third Party Providers with whom Telecorp has not reached agreement. In the event that Telecorp does send Transit Traffic through ALLTEL's network to a Third Party Provider with whom Telecorp does not have a traffic interchange agreement, then Telecorp agrees to indemnify ALLTEL for any termination charges rendered by a Third Party Provider for such traffic.

Traffic To Third Party Providers. Upon written notice by the requesting Party and written consent by the requested Party, the requesting Party may route traffic destined for the network of a third party through the requested Party’s network. Powertel and ALLTEL shall compensate each other for traffic that transits their respective systems to any Third Party Provider, as specified in Attachment 4: Pricing. The Parties agree to enter into their own agreements with Third Party Providers. ALLTEL agrees that it will not block traffic involving Third Party Providers with whom Powertel has not reached agreement. In the event that Powertel does send traffic through ALLTEL's network to a Third Party Provider with whom Powertel does not have a traffic interchange agreement, then Powertel agrees to indemnify ALLTEL for any termination charges rendered by a Third Party Provider for such traffic. Neither Party will transit traffic destined for the network of an IXC through the network of the other Party.

  • Third Party Users If required by Applicable Laws and Regulations or if the Parties mutually agree, such agreement not to be unreasonably withheld, to allow one or more third parties to use the Connecting Transmission Owner’s Attachment Facilities, or any part thereof, Developer will be entitled to compensation for the capital expenses it incurred in connection with the Attachment Facilities based upon the pro rata use of the Attachment Facilities by Connecting Transmission Owner, all third party users, and Developer, in accordance with Applicable Laws and Regulations or upon some other mutually-agreed upon methodology. In addition, cost responsibility for ongoing costs, including operation and maintenance costs associated with the Attachment Facilities, will be allocated between Developer and any third party users based upon the pro rata use of the Attachment Facilities by Connecting Transmission Owner, all third party users, and Developer, in accordance with Applicable Laws and Regulations or upon some other mutually agreed upon methodology. If the issue of such compensation or allocation cannot be resolved through such negotiations, it shall be submitted to FERC for resolution.

Grantor will be deemed to have acted in good faith if it is in possession of information that indicates Grantee authorized Grantor to intercept or redirect payments to a third party or when so ordered by a court of competent jurisdiction.
