TRAINING MATERIALS AND PROMOTIONAL MATERIALS. No employee or representative of a Party shall have any authority to bind or obligate the other Party to this Agreement for any sum or in any manner whatsoever, or to create or impose any contractual or other liability on the other Party without the other Party's authorized written approval. For all purposes, and notwithstanding any other provisions of this Agreement to the contrary, the legal relationship under this Agreement of the Parties shall be that of independent contractors. Each Party shall be responsible for ensuring that its Promotional Activities under this Agreement are in full compliance with all Applicable Laws, including without limitation applicable FDA regulations, and are consistent with the Marketing Approval and package insert.
