Transfer Fee; Amendment Fee. (i) The Borrower agrees to pay to each Issuing Bank, upon each transfer or amendment of a Letter of Credit issued for the account of the Borrower, the normal and customary transfer fee or amendment fee, as the case may be (or such other fee as the Borrower and such Issuing Bank may agree upon), charged by such Issuing Bank upon the transfer or amendment of letters of credit.

Transfer Fee; Amendment Fee. Upon each transfer of a Letter of Credit in accordance with its terms and any amendment of a Letter of Credit requested by the Issuer, the Issuer agrees to pay to the Applicable Bank the sum of $2,500 plus the Applicable Bank’s actual costs and expenses associated with such transfer or amendment, payable without any requirement of notice or demand on the date of such transfer or amendment. Upon each amendment of the Agreement or this Fee Letter requested by the Issuer, the Issuer agrees to pay each Bank the sum of $2,500 plus the Bank’s actual costs and expenses associated with such amendment, payable without any requirement of notice or demand on the date of such amendment.
