Transfer of Airport. The City shall not transfer, sell, lease or dispose of all or substantially all of the properties and facilities constituting the Enterprise unless either (i) the City receives the prior written consent of the Bank or (ii) the City pays to the Bank all amounts due and owing under this Agreement.
