Transfer of Equity Interest at New Lease Termination. In the event that District exercises its Option, then upon the effective date of the termination or expiration of the New Lease (“Dignity Health Equity Transfer Date”), Dignity Health shall, in accordance with Section 3.5 below, assign, transfer, convey and deliver to District, and District shall accept from Dignity Health, all of Dignity Health’s right, title and interest in and to the Dignity Health Equity Interest.
