Common use of Transfer of Grant-Back Essential Patents Clause in Contracts

Transfer of Grant-Back Essential Patents. If Licensee (or its Affiliates) assigns, exclusively licenses, sells or transfers a Grant-Back Essential Patent to another entity, Licensee (or such Affiliates) shall, in the instrument giving effect to such assignment, exclusive license, sale or transfer, include provisions which ensure that the assignee, exclusive licensee, purchaser or transferee of such Grant-Back Essential Patents is bound by equivalent obligations with respect to such Grant-Back Essential Patents as is Licensee (or such Affiliates) pursuant to this Section7. Licensee acknowledges that the obligation to license Grant-Back Essential Patents on fair, reasonable, non-discriminatory conditions in accordance with Section 7.1 runs with such Patents and thus binds any subsequent owners of such Patents.
