Transfer of Licensed Software. During the performance or upon termination ----------------------------- of a contract with an EDS customer or upon any transfer of equipment incorporating Licensed Software to a third party (such customers and third parties referred to as "Transferee"), (i) EDS may sublicense the applicable Licensed Software to such Transferee pursuant to terms and conditions similar to those contained in this Article (excluding the right to sublicense or assign), (ii) the applicable License (excluding the right to sublicense or assign) may be assigned to such Transferee, or (iii) upon request by EDS, the Licensed Software will be licensed directly by Chordiant to such Transferee in accordance with the terms and conditions of Chordiant's standard software license agreement or as agreed upon by Chordiant and Transferee. Any assignment or sublicensing of Licensed Software in accordance with this Section shall be at no additional charge to EDS or Transferee, and EDS shall have no further liability or responsibility with respect to Licensed Software under (ii) or (iii) above.
Transfer of Licensed Software. Buyer may transfer its license to use the Licensed Software to a third-party only if Honeywell gives its prior written consent. If Buyer will not be the end user of the Licensed Software, Honeywell hereby consents to the transfer of the Software to the end user provided Buyer first obtains the end user's written agreement to accept these terms and conditions and thereafter provides Honeywell with a copy of said agreement.
Transfer of Licensed Software. The Customer may transfer the LICENSED SOFTWARE provided that (i) this Software License Agreement is transferred with the LICENSED SOFTWARE, (ii) the transferee fully accepts the terms and conditions of this Agreement, and (iii) all complete or partial copies of the LICENSED SOFTWARE, including copies on data storage devices are also transferred (or destroyed).
Transfer of Licensed Software. Buyer may transfer its license to use the Licensed Software to a third party only in conjunction with Buyer’s sale of any Vindicator or Buyer product on which the Licensed Software is installed or with which it is used. Vindicator’s transfer of the Licensed Software as authorized herein must be under terms consistent with and no less stringent than the terms set forth in this Agreement. Except as specifically permitted in this Agreement, the Licensed Software may not be sublicensed, transferred or loaned to any other party without Vindicator’s prior express written consent.

Transfer of Licensed Software. During the performance or upon termination of a contract between EDS and an EDS customer to which EDS is supplying outsourcing services and which is not a Direct Competitor of Supplier or another outsourcer (such customer referred to as "Transferee"), (i) EDS may sublicense or assign the applicable Licensed Software to such Transferee to use the Licensed Software solely for their own internal purposes and subject to the terms and conditions of the Agreement applicable to such use, provided such Transferee agrees in writing to be bound by such, or (ii) if requested by EDS, the Licensed Software may be licensed directly by Supplier to Transferee in accordance with the terms and conditions of Supplier's standard software license agreement or as agreed upon by Supplier and Transferee. EDS shall pay to Supplier a one time fee of [***]% of the initial license fee paid for a particular customer to transfer or license the product to such customer as set forth in clause (i) of this Section 4.03.

Any assignment or sublicensing of Licensed Software in accordance with this Section shall be at no additional charge to EDS or Transferee, and EDS shall have no further liability or responsibility with respect to Licensed Software under (ii) or (iii) above.

During the performance or upon termination of a contract with an EDS customer or upon any transfer of equipment incorporating Licensed Software to a third party (such customers and third parties referred to as "Transferee"), upon request by EDS, the Licensed Software will be licensed directly by MigraTEC to such Transferee in accordance with the terms and conditions of MigraTEC's standard software license agreement or as agreed upon by MigraTEC and Transferee. Any assignment of Licensed Software in accordance with this Section shall be at no additional charge to EDS or Transferee, and EDS shall have no further liability or responsibility with respect to Licensed Software.
Transfer of Licensed Software. CuraGen and the Company shall have executed an agreement reasonably acceptable to Buyer to be effective as of the Effective Time to transfer to the Company at no additional cost any software licensed by CuraGen to the Company as of the date of this Agreement.
