Transfer Price of Underlying Assets. Subject to the applicable laws, the transfer price of the Purchased Underlying Assets shall be the lowest price permitted by the Chinese laws when the Purchased Underlying Assets are transferred. By mutual consent, the transfer price of Underlying Assets hereunder may be offset against the relevant amount payable by Party B to Party A.

If a Company or one of its Affiliates pays over any amount pursuant to the preceding sentence and such Tax Benefit is subsequently disallowed or adjusted, the Parties shall promptly make appropriate payments (including in respect of any interest paid or imposed by any Tax Authority) to reflect such disallowance or adjustment.

The Purchase Price plus accrued interest as set forth in the preceding paragraph shall be paid to the Seller by wire transfer of immediately available funds to an account designated by the Seller in writing.
