Transferor and Transferee. 9.1 Three (3) companies as the Transferor shall undertake joint and several liabilities to each other for any and all obligations under this Agreement. Any one company may act for and on behalf of the other two (2) companies.
9.2 To facilitate the share transfer, the Transferee shall be entitled to appoint its affiliates to accept any or all transferred shares. The actual transferee shall duly enjoy relevant rights and undertake relevant obligations under this Agreement. The Transferor shall assist the Transferee to handle relevant formalities.
Transferor and Transferee. All terms and conditions, regulations and responsibilities contained in the Agreement are intended to safeguard the interests of both parties, their inheritors, representatives, assignees and transferees and to be binding upon such people. Notwithstanding the aforementioned provision, for any event, unless agreed upon by Party A in writing in advance, Party B shall not have any rights under the Agreement transferred, pledged, mortgaged or assigned to another.
Transferor and Transferee intend the transfer and assignment of Assets in exchange for the common stock of Transferee to qualify under Internal Revenue Code Section 351 as a tax-free transaction.
Transferor and Transferee shall prepare an agreement (the "Proration Agreement") setting forth on a Property-by-Property basis in reasonable detail the prorations described in this Section 2.5 and stating the net amount owed to Transferor or Transferee, as the case may be, on account thereof. Transferor and Transferee shall execute and deliver the Proration Agreement as provided in Section 2.3(a)(xi).
