Common use of Transferor Conditions Clause in Contracts

Transferor Conditions. Without limiting any other conditions to Closing of the Transferor Partners contained herein, the obligation of the Transferor Partners to proceed with the Closing of the transactions contemplated by this Agreement is expressly conditioned upon the fulfillment of each of the conditions listed below as of the Closing Date, any or all of which may be waived, only in writing, by the Transferor Agent as follows:
