Common use of TRANSFERRING RESPONSIBILITIES Clause in Contracts

TRANSFERRING RESPONSIBILITIES. 23.1 The Supplier cannot assign, novate or in any other way dispose of the Contract or any part of it without the Buyer's written consent. 23.2 The Buyer can assign, novate or transfer its Contract or any part of it to any Crown Body, public or private sector body which performs the functions of the Buyer. 23.3 When the Buyer uses its rights under clause 23.2 the Supplier must enter into a novation agreement in the form that the Buyer specifies. 23.4 The Supplier can terminate the Contract novated under clause 23.2 to a private sector body that is experiencing an Insolvency Event. 23.5 The Supplier remains responsible for all acts and omissions of the Supplier Staff as if they were its own.
