Transition and Implementation Plan. The work and services performed under this Contract shall be done in accordance with the final negotiated and approved Transition and Implementation Plan incorporated herein. The Contractor shall be responsible for schedule adherence as outlined in said Transition and Implementation Plan and for all ongoing services. All costs associated with the services to be provided by Contractor under said plan are non-recurring and shall be payable according to the Progress Payment Schedule set forth herein. Transition and Implementation Plan. The parties recognize that substantial planning and preparation will be required to ensure a successful initiation of collection operations by Contractor on July 1, 2009. To that end, Contractor has prepared a detailed transition and implementation plan addressing the steps Contractor will take, and the schedule on which it will take them, to prepare for commencement of collection operations. The implementation plan covers, among other matters, Contractor’s schedule for hiring and training of personnel, acquiring necessary collection vehicles and arranging for their registration and inspection, acquiring equipment including new containers (carts, bins and boxes), preparing customer information materials (including collection schedules, route maps, billing forms, complaint forms, service request forms and so forth), distributing new containers to customers as required, securing a local office and a vehicle and container storage facility, and developing a contingency plan, and is attached as Attachment B. Contractor shall diligently adhere to the implementation plan and shall meet periodically, whenever City requests, to review progress. Failure to adhere to the implementation plan, including its schedule, shall constitute a breach of this Agreement which, if uncured, shall constitute a default under Section 11.01. The specific plans and other materials required to be submitted by the implementation plan are subject to City’s review and approval. City will take actions, make decisions, and provide directions to Contractor in accordance with the schedule and time allowances set forth in Attachment B, so as not to delay Contractor’s adherence to the implementation plan schedule.
Transition and Implementation Plan. The Broker of Record shall adhere in full to its Transition and Implementation plan set forth in its response to the RFP including but not limited to dates and milestones for transition and implementation of this Contract. Any modification to dates and milestones shall be permitted only upon express joint prior written consent of the Named Insured’s contract manager and the Department’s contract administrator, which consent shall not be unreasonably withheld. Notwithstanding the terms of the prior paragraph, a failure by the Broker of Record to timely place insurance on behalf of the Named Insured to ensure no interruption in coverage will establish a material breach of the Contract, will constitute grounds for termination of the Contract, and will incur the financial consequence stated in Exhibit D, Performance Standard 3.

  • Implementation Plan The Authority shall cause to be prepared an Implementation Plan meeting the requirements of Public Utilities Code Section 366.2 and any applicable Public Utilities Commission regulations as soon after the Effective Date as reasonably practicable. The Implementation Plan shall not be filed with the Public Utilities Commission until it is approved by the Board in the manner provided by Section 4.9.

  • Transition Plan In the event of termination by the LHIN pursuant to this section, the LHIN and the HSP will develop a Transition Plan. The HSP agrees that it will take all actions, and provide all information, required by the LHIN to facilitate the transition of the HSP’s clients.

  • Implementation Services The Company and the Client have developed a plan for implementing the services to be provided hereunder, including with respect to the transition of responsibility for such services from the Client and its current administrator to the Company, which plan attached hereto as Schedule I (the “Implementation Plan”). The Company shall perform the services required to complete the Implementation Plan, as set forth therein (the “Implementation Services”). The Company and the Client shall comply with any applicable requirements agreed in the Implementation Plan.

  • Transition Seller will not take any action that is designed or intended to have the effect of discouraging any lessor, licensor, customer, supplier, or other business associate of the Company from maintaining the same business relationships with the Company after the Closing as it maintained with the Company prior to the Closing. The Seller will refer all customer inquiries relating to the business of the Company to the Purchaser from and after the Closing.
