Transition Preparation Clause Samples
Transition Preparation. Starting three (3) months after [**] (“Transition Period”), Lilly shall begin to plan the transition of P&D Services for Products in the Service Territory to ▇▇▇▇▇▇▇▇▇, in the Field in the Service Territory, at each party’s sole expense; however, ▇▇▇▇▇▇▇▇▇ will not provide P&D Services until the Triggering Event (as defined below). Notwithstanding the above both Lilly and ▇▇▇▇▇▇▇▇▇ agree to use Commercially Reasonable Efforts to work together to ensure the Transition Period is as short as reasonably possible and no longer than three (3) months post Triggering Event.
Transition Preparation. Prior to the Closing, Seller shall provide Purchaser and its officers, directors, employees, and consultants reasonable access, upon reasonable notice, to the Premises to begin planning for a transition of the Purchased Assets to Purchaser, including allowing Purchaser to use available storage space at the Premises and allowing Purchaser to begin installing racking at the Premises, in each case in a manner that does not disrupt Seller’s operation of the Business prior to the Closing. In the event that the Agreement is terminated, Purchaser shall promptly remove (at Purchaser’s sole cost and expense) any racking that it has installed. Purchaser shall be responsible for repairing any damage incurred in connection with its installation of racking at the Premises (or the removal of such racking in the event that this Agreement is terminated) and shall fully indemnify Seller (without limitation as to amount) for Losses relating to any such damage.
Transition Preparation. The Parties shall start transition of the P&D Services from Lilly to ▇▇▇▇▇▇▇▇▇ from August 1, 2020 in such manner as agreed between the Parties, at each Party's sole expense. Each Party shall use Commercially Reasonable Efforts to ensure that such transition is completed as soon as possible and in any event within two (2) months after August 1, 2020 (the period of transition is hereby referred to as the "Transition Period").
