TRT LLC Transfers. Notwithstanding any other provision of this Agreement, TRT LLC shall not transfer any direct or indirect or beneficial interest in the Partnership to any Entity or controlled Affiliate of any Entity that is a real estate investment trust primarily engaged in owning and operating industrial warehouse/distribution assets and is one of the top five measured by equity market capitalization of such companies whose shares are listed on a recognized exchange.
