True Consignment. This Agreement shall provide for a true consignment and all transactions hereunder shall constitute true consignments of commodities.
True Consignment. To the extent that Vendor delivers the Products to Ingram or places them under Xxxxxx’x control, this is a true consignment agreement. Vendor shall retain title to the Managed Inventory shipped hereunder until the Managed Inventory is purchased by Ingram at the time of sale to its customers.

If, despite the express intent of the parties hereto that the delivery of the consigned inventory to Factory Card constitutes a true consignment, the delivery of the inventory to the Factory Card deemed to be consignment intended as security rather than a true consignment, this Agreement shall constitute a written security agreement between the parties and Factory Card hereby grants to Amscan a purchase money security interest in all consigned inventory and the proceeds thereof either heretofore or hereafter delivered to Factory Card by Amscan.
True Consignment. Title to the Artworks in the Gallery shall remain with the Artist until Artworks are sold and the Artist's portion of the sale proceeds are remitted to the Artist, at which time title of Artwork then passes directly to the purchaser. Sales expenses shall be paid by the Gallery.

In such event, the Bank shall have all rights and remedies of a secured party under the Uniform Commercial Code or under applicable laws of the countries of Germany and/or Spain.

Vendor warrants, covenants and agrees that the Managed Inventory is owned by Vendor, that there are no liens, judgments or other encumbrances against such Managed Inventory and that Vendor has full right of transfer or sale of such Managed Inventory. Title to Managed Inventory shall at all times remain exclusively with Vendor until XXXXX purchases and pays for the Managed Inventory at the time of sale to its customers. All purchases by XXXXX shall be under Vendor's standard terms and conditions set forth on its purchase order form.
