Inventory Management Services a. Inventory management services Supply Chain • Assist in providing historical sales data. • Provider will assist Recipient as reasonably requested from time to time with any purchase orders pending as of closing and purchase orders made by Recipient prior to June 30, 2016 as reasonably requested by Recipient; provided however, for the avoidance of doubt, nothing in this Agreement shall obligate Provider to make any purchase orders in its name after Closing nor is Provider under any obligation to assure delivery of the product contemplated by any such purchase order. • Dispose of unneeded inventory as directed and authorized in writing by Recipient. • Provider will transfer and deliver the existing physical Inventory (including pending strain shipments) located at third party storage locations to the location(s) reasonably requested by Recipient or arranged for by Recipient (at Recipient’s expense).
b. Delivery of open purchase order products Supply Chain • Provider having transferred the (i) Lallemand purchase order #2769 dated January 12, 2016 for S. Oralis product; (ii) Nutraceutix, Inc. PO #2775 dated April 14, 2016, for Evora Pro and Evora Plus product; and (iii) Best PO #2777 dated May 25, 2016, for Evora Pet product to Recipient pursuant to the Asset Purchase Agreement, Provider will use its best efforts to cause delivery of all of the S. Oralis product, Evora Pro and Evora Plus product and Evora Pet product contemplated by such purchase orders to Provider’s designated location. • To the extent that Provider receives delivery of any product after Closing as a result of any purchase order pending at Closing, it will notify Recipient and cooperate with Recipient on the delivery of any such products received by Provider pursuant to any pending purchase orders from Logic PAKaging, Lallemand, SAS, Best and Nutraceutix, Inc. to the location(s) reasonably requested by Recipient (at Recipient’s expense). Inventory Management Services. AF Services shall provide the following inventory management services (“Inventory Management Services”) to eCost: (a) receiving, processing and analyzing data, that eCost shall regularly provide and update, regarding eCost’s past product sales and projected future sales; (b) maintaining sufficient inventory and packing materials to meet eCost’s projected order volumes; (c) maintaining sufficient warehouse facilities, equipment, employees, vendor relationships, information technology, and all other equipment, training, personnel, and facilities to monitor, maintain, receive, inspect, record, manage, track, and access efficiently the inventory warehoused by AF Services; (d) maintaining sufficient quality control programs as are necessary to ensure that products sold by AF Services to eCost under this Agreement conform to eCost’s requirements and meet eCost’s specifications as to appearance, performance, reliability, durability, technical specifications and branding (as such requirements and specifications are provided by eCost to AF Services from time to time); and (e) on a periodic basis, preparing and providing to eCost inventory reports, logs, and other data compilations that the parties agree are reasonably required by eCost in connection with the conduct its business.
Inventory Management Services. 1. INVENTORY MANAGEMENT
Inventory Management Services. Service Provider shall provide comprehensive inventory management services to the Retailer (“Inventory Management Services”), which shall include, but shall not be limited to: (a) receiving, processing and analyzing data that Retailer shall regularly provide and update regarding Retailer’s past product sales and projected future sales; (b) maintaining sufficient inventory and packing materials to meet Retailer’s projected order volumes; (c) maintaining sufficient warehouse facilities, equipment, employees, vendor relationships, information technology, and all other equipment, training, personnel, and facilities to monitor, maintain, receive, inspect, record, manage, track, and access efficiently the inventory warehoused by Service Provider; (d) maintaining sufficient quality control programs as are necessary to assure that products sold by Service Provider to Retailer under this Agreement conform to the Retailer’s requirements and meet the Retailer’s specifications as to appearance, performance, reliability, durability, technical specifications and branding; and (e) preparing and communicating periodically to Retailer inventory reports, logs, and other data compilations sufficient to apprise Retailer, as often as Retailer deems necessary, of all inventory management information reasonably required by Retailer to conduct its business.
Inventory Management Services. Supplier’s approach to Inventory Management will include reporting to Health Net production and inventory numbers and attending meetings to discuss volumes, issues, and other operational topics to maintain work inventories within target levels.
13.1 Overall Approach
Inventory Management Services. During the term of this Agreement, Manufacturer shall perform the following described inventory management services as set forth in Exhibit F:
a) Store Customer’s Products at its own or leased internal storage facility. Manufacturer shall inspect each receipt, note any obvious or suspected damage thereto and any other exceptions, and promptly notify Customer of the same. Manufacturer shall provide Customer with an agreed form of notice for all Products received, together with copies of inbound bills of lading as required by Customer. Products will be stored, cross-docked and staged within a temperature band ranging from a low of -20 degrees F to a high temperature of not greater than 10 degrees.
b) Retrieve such Products from storage in full pallet or order selection quantities for outbound orders as directed by Customer; and place Products in trucks, containers and railcars for shipment as directed by Customer distribution policies and or employees. Manufacturer shall inspect each outbound lot before shipment, note any obvious or suspected damage thereto and any other exceptions, and promptly notify Customer of the same. Manufacturer shall provide Customer with copies of outbound bills of lading for each order shipped.
c) Manufacturer shall prepare and ship to Customer sample orders at Customer’s request. Manufacturer will invoice Customer its actual direct labor and material costs in connection with such sample orders.
Inventory Management Services. Monitor and manage inventory stock levels to appropriately support Source/CLCC's book customers.
Inventory Management Services. In addition to the "Base Services" McKesson agrees to provide to Prometheus, the following Inventory Management Services:
Inventory Management Services. Xxxxxxx agrees to provide the following ----------------------------- Inventory Management Services for SmarterKids: . The SmarterKids packaging for the affected Product(s) will be received in bulk and entered into the inventory management system and stored at the Xxxxxxx warehouse. . The delivery of approximately [5,000] separate Products to SmarterKids' Customers will be managed by Xxxxxxx at its Braintree facility. . The box shipped to the SmarterKids Customer will include an airbill and instructions for placing additional orders or returning the ordered Product(s). . Xxxxxxx will provide periodic reports to indicate Product inventory status, order receipts/confirm, order shipping and stock usage. EXHIBIT B - PAYMENT FOR SERVICES SmarterKids agrees to compensate Xxxxxxx for the Services rendered as follows:
