Truth and Accuracy of Representations of Purchaser at Closing. All of the representations and warranties of Purchaser made in or pursuant to this Agreement shall be true and correct, in all material respects, as of the Closing and with the same effect as if made at and as of the Closing, and Seller shall have received a certificate signed by a senior officer of Purchaser confirming the truth and correctness of such representations and warranties as of the Closing Date.
