Truth at Closing. All of the representations, warranties, and agreements of the Buyer contained in this Agreement shall be true and correct and in full force and effect on and as of the Closing Date.
Truth at Closing. All of the representations, warranties, and agreements of Seller contained in this Article IV shall be true and correct and in full force and effect on and as of the Closing Date.

There is no fact, event or circumstance known to Sellers and not fully, accurately and completely disclosed to Buyer which may reasonably be anticipated to have a material adverse effect on the Assets.
