Truth of Warranties. The representations and warranties made by ------------------- Seller herein or in any certificate or document delivered pursuant to the provisions hereof or in connection with the transactions contemplated hereby shall be true and correct in all material respects on and as of the Closing Date with the same force and effect as though such representations and warranties had been made on the Closing Date.

Truth of Warranties. To the best knowledge of counsel, all representations and warranties of the Seller contained herein are true, complete and correct, and the Seller is not in breach or violation of or in default under any covenant, promise or agreement in this Agreement.
