TSR Factor Sample Clauses

TSR Factor. Score If TSR Factor ≤ -20 %, then 0.8; If TSR Factor > -20% and < 0%, then interpolate the score on a straight line between -20% (scored as 0.8) and 0% (scored as 1); If TSR Factor = 0%, then 1; If TSR Factor > 0% and < 20%, then interpolate the score on a straight line between 0% (scored as 1) and 20% (scored as 1.2); and If TSR Factor ≥ 20%, then 1.20

TSR Factor. “TSR Factor” shall be determined as follows after giving effect to subparagraphs (i)-(iii) below: If, as of the Measurement Date, the Company’s TSR ranks last among the TSRs of the Company and the Peer Group Companies and (x) the Company’s 90-Day Stock Price is less than $11.00, the Committee may, in its sole discretion, reduce the number of otherwise Earnable Restricted Stock Units to any number but not below zero (0) or (y) the Company’s 90-Day Stock Price is $11.00 or greater, the Committee may, in its sole discretion, reduce the number of Earnable Restricted Stock Units by up to seventy-five percent.

TSR Factor. A performance factor (“TSR Factor”) for Units based on total shareholder return shall be calculated based upon the table set forth below: 8%£ x £ 10% $36.32£x£$37.87 0.50 to 1.00 10%< x £ 12% $37.87<x£$39.42 1.00 to 2.00 Any Units that are unearned as of the end of the TSR Period will be forfeited. The number of earned Units that will become vested shall be determined pursuant to paragraph 3 below. Whether the TSR Goal has been achieved shall be determined by the Company or Committee, as applicable, pursuant to paragraph 2.6 below.
