Common use of UK and Europe Clause in Contracts

UK and Europe. If Customer’s headquarters is located in the UK or Europe, the construction, validity and performance of this Agreement (and any Dispute, claim or obligation under it, whether contractual or non-contractual) shall be governed by the laws of England and Wales, and the Parties irrevocably submit to the exclusive jurisdiction of the English courts. All such proceedings shall be conducted using the English language and, in the event that all or any part of this Agreement is translated, the English language version shall be the governing version.
