Units of Merger Sub. Each issued and outstanding unit of Merger Sub shall be converted into and become one fully paid and nonassessable unit of the Surviving Company.

Units of Merger Sub. Each unit of Merger Sub shall be automatically cancelled and extinguished without any conversion thereof and no payment shall be owed with respect thereto.
