Unscheduled Claims. Mykrolis shall have the sole responsibility for all employment-related claims regarding Mykrolis Employees that exist, or come into existence, on or after the Separation Date relating to, arising out of, or resulting from their employment with Mykrolis.
Unscheduled Claims. Southern Energy and Southern shall have responsibility for all Employment liabilities in accordance with Schedule 2.01.
Unscheduled Claims. Subject to Section 9.9(a), on or after the date hereof, the Partnership shall have the sole responsibility for all employment-related claims regarding Tality Employees and Tality Transferred Employees, relating to, arising out of, or resulting from their employment with the Tality Business or a member of the Tality Group.
Unscheduled Claims. After the date of this Agreement, eFunds and Deluxe shall supplement Schedules 9.6(a) and 9.6(b) for additional employment-related claims which will be subject to the provisions of such Sections. eFunds shall have the sole responsibility for all employment-related claims regarding eFunds Employees and iDLX Employees that exist, or come into existence, on or after the Distribution Date arising out of or relating to their employment in the eFunds Group or iDLX.
Unscheduled Claims. Luminent shall have the sole responsibility for all employment-related claims regarding Luminent Employees and Luminent Transferred Employees that exist, or come into existence, on or after the Separation Date relating to, arising out of, or resulting from their employment with the Luminent Business or the Luminent Group.
Unscheduled Claims. Agilent shall have the sole ------------------ responsibility for all employment-related claims regarding Agilent Employees and Agilent Transferred Employees that exist, or come into existence, on or after the Separation Date arising out of or relating to their employment in the Agilent Business or the Agilent Group. -44-
Unscheduled Claims. KSI shall have the sole responsibility for all employment-related claims regarding KSI Employees that exist, or come into existence, on or after the Distribution Date relating to, arising out of, or resulting from their employment with KSI.
Unscheduled Claims. Palm shall have the sole responsibility for all employment-related claims regarding Palm Employees and Palm Transferred Employees that exist, or come into existence, on or after the Separation Date relating to, arising out of, or resulting from their employment with the Palm Business or the Palm Group.
Unscheduled Claims. MMI shall have the sole responsibility for all employment-related claims regarding MMI Employees that exist, or come into existence, on or after the Separation Date relating to, arising out of, or resulting from their employment with MMI.
Unscheduled Claims. (i) The H-Group, HGMI and HCC, as appropriate, shall have the sole responsibility for all employment-related claims regarding Gaming Employees that come into existence after the Closing relating to, arising out of, or resulting from the employment of such individuals within the Gaming Business, whether the basis for such claims arose on or after the Closing.
(ii) Grand Victoria shall have sole responsibility for all employment-related claims regarding Grand Victoria Employees whether known or unknown on the Closing and which relate to employment prior to or after the Closing.
(iii) Hyatt shall have the sole responsibility for all employment-related claims regarding Retained Employees that exist, or come into existence, on or after the Closing relating to, arising out of, or resulting from the employment of such individuals with the Hyatt Retained Business, whether the basis for such claims arose on, before or after the Closing.
