Luminent Group definition

Luminent Group means Luminent, each Subsidiary and Affiliated Company of Luminent immediately after the Separation Date or that is contemplated to be a Subsidiary or Affiliated Company of Luminent pursuant to the Non-US Plan and each Person that becomes a Subsidiary or Affiliate Company of Luminent after the Separation Date.

Luminent Group means the affiliated group of corporations as defined in Section 1504(a) of the Code, or similar group of entities as defined under corresponding provisions of the laws of other jurisdictions following the completion of the Separation, of which Luminent would be the common parent if it were not a subsidiary of MRV, and any corporation or other entity which would be a member of such group for the relevant taxable period or portion thereof.

Luminent Group means, (i) with respect to any taxable period or portion thereof ending on or prior to the Contribution Date, Luminent and its Affiliates and (ii) with respect to any taxable period or portion thereof beginning after the Contribution Date, Luminent and its Affiliates other than any member of the MRV Group.

  • Post-Distribution Period" means, for each designated Plan, the period beginning as of the Distribution Date and ending on the date that no member of the Luminent Group is using MRV benefit delivery and administrative services with respect to that Plan.

  • Luminent Indemnitees" means Luminent, each member of the Luminent Group and each of their respective directors, officers and employees.

  • Subject to Section 3.8, the rights and obligations of the members of the MRV Group and the Luminent Group under this Article I shall survive the sale or other transfer by any party of any Assets or businesses or the assignment by it of any Liabilities or the sale by any member of the MRV Group or the Luminent Group of the capital stock or other equity interests of any Subsidiary to any Person.

  • Without limiting the generality of the foregoing: (a) neither the Distribution or Separation, nor the termination of the Participating Company status of Luminent or any member of the Luminent Group shall cause any employee to be deemed to have incurred a termination of employment; and (b) no transfer of employment between MRV and Luminent before the Distribution Date shall be deemed a termination of employment for any purpose hereunder.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Insight as used in this clause, means technical visibility into the Program, maintained through audit, surveillance, assessment of trends and metrics, software independent verification and validation, the flight readiness review process, and review or independent assessment of out-of-family anomalies occurring in any phase of the program.
