Luminent Group definition

Luminent Group means Luminent, each Subsidiary and Affiliated Company of Luminent immediately after the Separation Date or that is contemplated to be a Subsidiary or Affiliated Company of Luminent pursuant to the Non-US Plan and each Person that becomes a Subsidiary or Affiliate Company of Luminent after the Separation Date.

Luminent Group means, (i) with respect to any taxable period or portion thereof ending on or prior to the Contribution Date, Luminent and its Affiliates and (ii) with respect to any taxable period or portion thereof beginning after the Contribution Date, Luminent and its Affiliates other than any member of the MRV Group.

Luminent Group means the affiliated group of corporations as defined in Section 1504(a) of the Code, or similar group of entities as defined under corresponding provisions of the laws of other jurisdictions following the completion of the Separation, of which Luminent would be the common parent if it were not a subsidiary of MRV, and any corporation or other entity which would be a member of such group for the relevant taxable period or portion thereof.

  • This Agreement may be enforced separately by each member of the MRV Group and each member of the Luminent Group.

  • MRV Group" means MRV, each Subsidiary and Affiliated Company of MRV (other than any member of the Luminent Group) immediately after the Separation Date, after giving effect to the Non-US Plan and each Person that becomes a Subsidiary or Affiliate Company of MRV after the Separation Date.

  • Effective as of any date on or after the Separation Date and before the Distribution Date (or such other date(s) as MRV or Luminent may mutually agree), any member of the Luminent Group not described in the preceding sentence may, at its request and with the consent of MRV and Luminent, become a Participating Company in any or all of the MRV Plans, to the extent that Luminent has not yet established a corresponding Plan.

  • In addition, nothing in the Separation Agreement, this Agreement, or any Ancillary Agreement should be construed to change the at-will status of the employment of any of the employees of the MRV Group or the Luminent Group.

  • Luminent Indemnitees" means Luminent, each member of the Luminent Group and each of their respective directors, officers and employees.

  • MRV agrees, for itself and as agent for each member of the MRV Group, not to make any claim or demand, or commence any Action asserting any claim or demand, including any claim of contribution or any indemnification, against Luminent or any member of the Luminent Group, or any other Person released pursuant to Section 1.1(b), with respect to any Liabilities released pursuant to Section 1.1(b).

  • Without limiting the generality of the foregoing: (a) neither the Distribution or Separation, nor the termination of the Participating Company status of Luminent or any member of the Luminent Group shall cause any employee to be deemed to have incurred a termination of employment; and (b) no transfer of employment between MRV and Luminent before the Distribution Date shall be deemed a termination of employment for any purpose hereunder.

  • Nothing in this Agreement shall be deemed to restrict any member of the Luminent Group from acquiring at its own expense any other insurance policy in respect of any Liabilities or covering any period.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Management Group means at any time, the Chairman of the board of directors, the Chief Executive Officer, the President, any Managing Director, Executive Vice President, Senior Vice President or Vice President, any Treasurer and any Secretary of Holdings or other executive officer of Holdings or any Subsidiary of Holdings at such time.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Insight as used in this clause, means technical visibility into the Program, maintained through audit, surveillance, assessment of trends and metrics, software independent verification and validation, the flight readiness review process, and review or independent assessment of out-of-family anomalies occurring in any phase of the program.

  • ECC means the amount calculated by Contractor for the total cost of all elements of the Work based on this Agreement available at the time(s) that the ECC is prepared. The ECC shall be based on current market rates with reasonable allowance for overhead, profit and price escalation and shall include and consider, without limitation, all alternates and contingencies, designed and specified by A/E and the cost of labor and materials necessary for installation of Owner furnished equipment. The ECC shall include all the cost elements included in the AACC, as defined above, and shall represent Contractor’s best current estimate of the Guaranteed Maximum Price it will propose for the Project based on the information then available. The ECC shall not include Contractor’s Pre-Construction Phase Fee, A/E’s Fees, the cost of the land and rights-of-way, or any other costs that are the direct responsibility of Owner.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Cendant means Cendant Corporation, a Delaware corporation.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • ITT means the Purchaser’s invitation to tender dated (date ITT issued).

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • AMC means Annual Maintenance Contract

  • Constellation has the meaning assigned to that term in the Recitals.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Dean means the head of a faculty of the University;

  • Comcast means Comcast Corporation, a Pennsylvania corporation.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Honeywell has the meaning set forth in the preamble.
