Common use of Updating of Schedules and Exhibits Clause in Contracts

Updating of Schedules and Exhibits. The Seller and Shareholder shall notify the Purchaser of any changes, additions or event which may cause any change in or addition to any Exhibits delivered by it under this Agreement, promptly after the occurrence of the same and at the Closing by the delivery of updates of all Exhibits. No notification pursuant to this Section shall be deemed to cure any breach of any representation or warranty made in this Agreement unless the Purchaser specifically agrees thereto in writing nor shall any such notification be considered to constitute or give rise to a waiver by the Purchaser of any condition set forth in this Agreement.
