U.S. Status of Non-Oak Seller. Except as set forth on Section 3.6 of the Non-Oak Sellers Disclosure Schedule, such Non-Oak Seller is not aforeign person” within the contemplated meaning of Section 1445 of the Code and is not a Person whose separate existence from a “foreign person” within the meaning of Section 1445 of the Code is disregarded for U.S. federal income tax purposes.
