Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Sxxxxxxx Xxxx P.C., special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit E attached hereto.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of [IP COUNSEL NAME], special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit E attached hereto.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion, and a written statement providing certain “10b-5” negative assurances, of Dechert LLP, special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, in form and substance reasonably satisfactory to the Representative.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Placement Agent shall have received the opinion of Xxxx & Associates PLLC, as special intellectual property counsel for the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date, and addressed to the Placement Agent, in a form reasonably acceptable to the Placement Agent.

Opinion of Special Intellectual Property Counsel for the Company. Pxxxxxx Xxxxx & Exxxx, LLP special counsel for the Company for Intellectual Property matters, shall have furnished to the Underwriters, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Underwriters, to the effect set forth in Annex C hereto.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of LaunchpadTM Intellectual Property, Inc., special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, substantially in a form acceptable to the Representative.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Mintz, Levin, Cohn, Ferris, Glovsky & Popeo, P.C., special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, in form and substance reasonably satisfactory to the Representative.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Placement Agent shall have received the favorable opinion and negative assurance letter of special intellectual property counsel for the Company reasonably acceptable to the Placement Agent and Placement Agent Counsel, dated the Closing Date and addressed to the Placement Agent, substantially in the form of Exhibit C-III attached hereto.

Opinion of Special Intellectual Property Counsel for the Company. Sughrue Mion, PLLC, special intellectual property counsel for the Company, shall have furnished to the Representative, at the request of the Company, its written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex A-2 hereto.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Davidson, Davidson & Xxxxxx, LLC, special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit E attached hereto.
