Use of Previous Versions. 2.4.1 Notwithstanding anything contained in the End-user License Agreement for M-Files accompanying your Software under Subscription or any Release or Extension provided to you, for the Term of your Subscription, you may install and continue to use, previous version(s) of a Release preceding the most current Release of the Software Program that you have licensed and is under Subscription, provided that the following conditions are met: (i) use of the Previous Version(s) shall be subject to the provisions of the License Agreement, as supplemented by this Section 2.4; (ii) the number of Previous Version licenses that you may use and install shall not exceed the total number of licenses of the Software Program that are under Subscription; (iii) if you have a standalone or a single license of a multiple license purchase, the Software Program and all the Previous Versions of such Software Program shall be installed on the same computer; (iv) if you have a standalone or a single license of a multiple license purchase neither the Software Program nor any of the Previous Versions of the Software Program shall be used concurrently; (v) if you have a standalone or a single license of a multiple license purchase, the Previous Version(s) or any permitted copies thereof, are not transferred to another computer unless all permitted copies of the Software Program are also transferred to the same computer; vi) where required, you legally licensed the Previous Version(s) and your use of such Previous Versions does not exceed the total number of licenses of the Previous Versions that you originally licensed; and (vii) you are hereby acknowledging and agreeing that M-Files Corporation does not have any obligation to provide support for the Previous Version(s) other than as set forth herein and any such obligations may be ended at any time. Notwithstanding anything in this Section 2.4.1 that may be construed to the contrary or the issuance of any authorization codes by M-Files Corporation, unless specifically permitted by M-Files Corporation in writing, in no event shall your use of the Software Program, including Previous Version (s), exceed the maximum number of licenses of the Software Program licensed to you and under Subscription. 2.4.2 M-Files Corporation shall have the right to conduct an audit on your premises or by electronic means (with reasonable notice) to ensure that your use of all/any versions of the Software Program complies with the provisions of this Agreement. In the event any audit discloses a breach of this Agreement, M-Files Corporation reserves the right to terminate this Agreement and/or recover damages, attorney's fees, and costs, including the cost of the audit. 2.4.3 In the event M-Files Corporation in connection with the Software Program licensed to you hereunder provides you additional software that supplements or extends the Software Program, that additional software shall be subject to the terms and conditions of this Agreement unless otherwise specified at the time of delivery. 2.4.4 For the avoidance of doubt, nothing herein requires M-Files Corporation to supply you with media containing Previous Versions of the Software Program or related documentation or to issue additional authorization codes. Moreover, M-Files Corporation reserves the right to charge a reasonable transaction fee for the issuance or re-issuance of authorization codes, if M-Files Corporation, in its discretion decides to provide such to you. Further, if the Previous Version of a Software Program has been discontinued by M-Files Corporation, you agree and acknowledge that i) in no event is M-Files Corporation required to issue authorization codes to you or to provide you with any media or other deliverables to enable you to use or install such discontinued Previous Versions; and ii) these Previous Version rights do not allow you to use or install additional licenses (i.e. more than you held or originally validly licensed) of any Previous Version of a Software Program that has been discontinued by M-Files Corporation. 2.4.5 Previous Versions may not be available or made available for all Software Programs, or in all languages, or in all locations. If your Subscription expires or otherwise terminates, your rights to use the Previous Version(s), if any, shall be determined by the terms of the License Agreement, including, without limitation, the obligations to uninstall such Previous Version(s) if you are not entitled to use a Previous Version.

Use of Previous Versions. 2.4.1 Notwithstanding anything contained in the End-user Autodesk Software License Agreement for M-Files accompanying your Software Programs under Subscription Support and Maintenance or any Release or Extension provided to you, for the Term of your SubscriptionSupport and Maintenance, including any Renewal Terms, you may install and continue to useuse on your computer (or on your network if you have a Network, previous version(smulti-seat standalone or similar multi-user license authorized specifically by Autodesk) of a Release preceding the most current Release prior versions of the Software Program Programs that you have licensed and is under Subscriptionlicensed, provided that you have a valid license to use such prior versions and, if applicable, those prior versions validly remain in your possession ("Previous Versions") and provided, further that the following conditions are met: (i) use of the Previous Version(s) Versions shall be subject to the provisions of the License Agreementapplicable Autodesk Software License, as supplemented modified by this Section 2.4; (ii) subject to subsection 2.4.5 below and unless otherwise specifically agreed in writing by Autodesk, the number of Previous Version licenses that you may use and install shall not exceed the total number of Previous Version licenses of the Software Program that are you originally licensed and have under SubscriptionSupport and Maintenance; (iii) if you have a standalone or a single license of a multiple license purchaseversion, the Software Program and all the Previous Versions of such Software Program shall be installed on the same computer; (iv) if you have a standalone or a single license of a multiple license purchase version neither the Software Program nor any of the Previous Versions of the Software Program shall be used concurrently; (v) if you have a standalone or a single license of a multiple license purchaseversion, the Previous Version(s) Versions or any permitted copies thereof, are not transferred to another computer unless all permitted copies of the Software Program are also transferred to the same computer; vi) where required, you legally licensed the Previous Version(s) and your use of such Previous Versions does not exceed the total number of licenses of the Previous Versions that you originally licensed; and (viivi) you are hereby acknowledging and agreeing that M-Files Corporation Autodesk does not have any obligation to provide support for the Previous Version(s) Versions other than as set forth herein and any such obligations may be ended at any time. Notwithstanding anything in this Section 2.4.1 that may be construed to the contrary or the issuance of any authorization codes by M-Files CorporationAutodesk, unless specifically permitted by M-Files Corporation Autodesk in writing, in no event shall your use of the Software Program, including Previous Version (s)Versions, exceed the maximum number of licenses of the Software Program licensed to you and under SubscriptionSupport and Maintenance. 2.4.2 M-Files Corporation shall have the right to conduct an audit on your premises or by electronic means (with reasonable notice) to ensure that your use of all/any versions of the Software Program complies with the provisions of this Agreement. In the event any audit discloses a breach of this Agreement, M-Files Corporation Autodesk reserves the right to terminate this Agreement and/or recover damages, attorney's fees, and costs, including the cost of the audit. 2.4.3 If this Software Program is labeled or referred to as a CROSSGRADE, the provisions of the preceding two subsections (2.4.1 and 2.4.2) shall not apply, and you must destroy all copies of the Previous Versions, including any copies resident on your hard disk drive, and upon request by Autodesk return any documentation to Autodesk or your Reseller within sixty (60) days of acquiring the Software Program. Autodesk reserves the right to require you to show satisfactory proof that the Previous Version has been destroyed and/or to conduct the audit set forth in Section 2.4.2 above. 2.4.4 In the event M-Files Corporation Autodesk in connection with the Software Program licensed to you hereunder provides you additional software that supplements or extends the Software Program, that additional software shall be subject to the terms and conditions of this Agreement unless otherwise specified at the time of delivery. 2.4.4 2.4.5 For the avoidance of doubt, nothing herein requires M-Files Corporation Autodesk to supply you with media containing Previous Versions of the Software Program or related documentation or to issue additional authorization codescodes or hardware or software locks. Further, if the Previous Version of a Software Program has been retired or otherwise discontinued by M-Files CorporationAutodesk, you agree and acknowledge that i) in no event is M-Files Corporation Autodesk required to issue authorization codes or hardware or software locks to you or to provide you with any media or other deliverables to enable you to use or install such retired or discontinued Previous Versions; and ii) these Previous Version rights do not allow you to use or install additional licenses (i.e. more than you held or originally validly licensed) of any Previous Version of a Software Program that has been retired or otherwise discontinued by M-Files CorporationAutodesk. 2.4.5 Previous Versions may not be available or made available for all Software Programs, or in all languages, or in all locations. If your Subscription expires or otherwise terminates, your rights to use the Previous Version(s), if any, shall be determined by the terms of the License Agreement, including, without limitation, the obligations to uninstall such Previous Version(s) if you are not entitled to use a Previous Version.

Use of Previous Versions. 2.4.1 Notwithstanding anything contained in the End-user Autodesk Software License Agreement for M-Files accompanying your Your Software under Subscription or any Release or Extension Software provided to youYou, for the Term of your Your Subscription, you You may install and continue to use, previous version(s) of a Release preceding the most current Release of the Software Program that you You have licensed and is under Subscription, as specifically identified in writing by Autodesk on the Previous Version Eligible Product List posted on the Autodesk Subscription Center, if any, (“Previous Version(s)”), provided that the following conditions are met: : (ia) use of the Previous Version(s) shall be subject to the provisions of the License Agreementapplicable Autodesk Software License, as supplemented modified by this Section 2.4; ; (iib) the number of Previous Version licenses that you You may use and install shall not exceed the total number of licenses of the Software Program that are under Subscription; ; (iiic) if you You have a standalone or a single license seat of a multiple license purchasemulti-seat standalone version, the Software Program and all the Previous Versions of such Software Program shall be installed on the same computer; ; (ivd) if you You have a standalone or a single license seat of a multiple license purchase multi-seat standalone version neither the Software Program nor any of the Previous Versions of the Software Program shall be used concurrently; ; (ve) if you You have a standalone or a single license seat of a multiple license purchasemulti-seat standalone version, the Previous Version(s) or any permitted copies thereof, are not transferred to another computer unless all permitted copies of the Software Program are also transferred to the same computer; viand (f) where required, you legally licensed the Previous Version(s) and your use of such Previous Versions does not exceed the total number of licenses of the Previous Versions that you originally licensed; and (vii) you You are hereby acknowledging and agreeing that M-Files Corporation Autodesk does not have any obligation to provide support for the Previous Version(s) other than as set forth herein and any such obligations may be ended at any time. Further if the Previous Version You want to use is not specifically identified in writing by Autodesk on the Autodesk Subscription Center for Previous Version use, You may still be able to use that Previous Version if, You legally licensed the Previous Version(s) and Your use of such Previous Versions does not exceed the total number of licenses of the Previous Versions that You originally licensed, subject to (a) through (f) above. Notwithstanding anything in this Section 2.4.1 that may be construed to the contrary or the issuance of any authorization codes by M-Files CorporationAutodesk, unless specifically permitted by M-Files Corporation Autodesk in writing, in no event shall your Your use of the Software ProgramSoftware, including Previous Version (sVersion(s), exceed the maximum number of licenses of the Software Program licensed to you You and under Subscription. Please note that Previous Versions and the benefits of this section 2.4 may not be available for all Software and/or may not be available in relation to certain Previous Versions of Software. 2.4.2 M-Files Corporation Autodesk shall have the right to conduct an audit on your Your premises or by electronic means (with reasonable notice) to ensure that your Your use of all/any versions of the Software Program complies with the provisions of this Subscription Agreement. In the event any audit discloses a breach of this Subscription Agreement, M-Files Corporation Autodesk reserves the right to terminate this Subscription Agreement and/or recover damages, attorney's fees, and costs, including the cost of the audit. 2.4.3 If You upgrade to a separate Software product that is not specifically identified on the Previous Version Eligible Product List as a direct successor to the Software previously owned by You and from which You upgraded, the provisions of the preceding two subsections (2.4.1 and 2.4.2) shall apply only with respect to the Previous Versions of the Software to which You upgraded, and You must uninstall all copies of the Software from which You upgraded (and any Previous Versions thereto, if any) including any copies resident on Your hard disk drive, and upon request by Autodesk, return any documentation to Autodesk or Your Reseller within sixty (60) days of installing the upgrade. Autodesk reserves the right to require You to show satisfactory proof that the Software from which You upgraded (and any Previous Versions thereto) has been destroyed and/or to conduct the audit set forth in Section 2.4.2 above. 2.4.4 In the event M-Files Corporation Autodesk, in connection with the Software Program Previous Versions licensed to you hereunder You under this Section 2.4, provides you additional software You Ancillary Products that supplements supplement or extends the Software Programextend a Previous Version, that additional software those Ancillary Products shall be subject to the terms and conditions of this Subscription Agreement unless otherwise specified at the time of delivery. 2.4.4 For the avoidance of doubt, nothing 2.4.5 Nothing herein requires M-Files Corporation Autodesk to supply you You with media containing Previous Versions of the Software Program or related documentation or to issue additional authorization codescodes or hardware or software locks. Moreover, M-Files Corporation Autodesk reserves the right to charge a reasonable transaction fee for the issuance or re-issuance of media, authorization codes, hardware locks or software locks, if M-Files CorporationAutodesk, in its discretion decides to provide such to youYou. Further, if the Previous Version of a the Software Program has been retired or otherwise discontinued by M-Files CorporationAutodesk, you You agree and acknowledge that ia) in no event is M-Files Corporation Autodesk required to issue authorization codes or hardware or software locks to you You or to provide you You with any media or other deliverables to enable you You to use or install such retired or discontinued Previous Versions; and iib) these rights to use Previous Version rights Versions do not allow you You to use or install additional licenses (i.e. more than you held or originally validly licensedYou have on Subscription) of any Previous Version of a the Software Program that has been retired or otherwise discontinued by M-Files Corporation.Autodesk 2.4.5 2.4.6 Previous Versions may not be available or made available for all Software ProgramsSoftware, or in all languages, or in all locations. Autodesk reserves the right to modify or terminate rights to use Previous Versions at any time, without prior notification. If your Your Subscription expires or otherwise terminates, your Your rights to use the Previous Version(s), if any, shall be determined by the terms of the License AgreementAutodesk Software License, including, without limitation, the obligations to uninstall such Previous Version(s) if you You are not entitled to use a Previous Version.
