Use of Proceeds from Capital Contribution by the Investors. The aggregate Subscription Price shall be used to meet capital expenditures and general working capital needs of the Group Companies, such as for content procurement or merger and acquisition. None of the Subscription Price shall be used to repurchase, redeem or cancel any securities, repay or terminate indebtedness, or to make any payments to shareholders, directors or officers of the Company or any Affiliate (as such term is defined in Rule 405 of the Securities Act) of the Company or any of the foregoing unless in connection with a bona fide arms-length transaction approved by the Board of Directors of the Company (the “Board of Directors”).
