Common use of Use of the Facility Clause in Contracts

Use of the Facility. (a) NSU hereby grants Licensee, upon the terms and conditions hereinafter expressed, a license to use those areas of the Facility described in Exhibit A attached hereto and made a part hereof (the “Authorized Areas”), including all improvements, furniture, fixtures, easements, rights of ingress and egress, and appurtenances thereto, during the dates and times set forth in Exhibit A (each such use being an “Event”). It is expressly understood by the parties hereto that the Facility shall be vacated by Licensee and all persons participating in or attending an Event hereunder on or prior to the end time of each Event or after each Event if Facility is used for multiple Events listed in Exhibit A hereto (the “Expiration Time”) and, as such, Licensee shall arrange to have all Events and activities related thereto cease within a reasonable time prior to the Expiration Time to allow ample time for the Facility to be completely vacated on or prior to the Expiration Time. (b) In the event Licensee desires to use the Authorized Areas or any other portion of the Facility at any time other than during the dates and times delineated in Exhibit A, Licensee shall request from NSU prior written permission to use such areas of the Facility. In the event such permission is granted, Licensee shall pay as additional rent an amount equal to the sum of NSU’s actual costs for performing its obligations under this Agreement during the date(s) and time(s) requested, and a fee in an amount determined by NSU to represent a fair value for use of such additional areas of the Facility during such date(s) and time(s). (c) Licensee acknowledges that in connection with NSU’s management and operation of the Facility, NSU may utilize the services of third party independent contractors, including, without limitation, Ticketmaster or other ticket agencies (the “Third Party

(c) Licensee’s failure to vacate the Authorized Areas upon the completion of the time of use shall constitute a material default hereunder in addition to other defaults identified herein. If Licensee fails to vacate the Authorized Areas of the Facility upon completion of the time of use, Licensee shall pay SMG the greater of: (a) SMG’s daily published use rate of the space not vacated as such space is identified in Exhibit A attached hereto; or (b) the amount of actual damages incurred by SMG due to Licensee’s failure to vacate the Authorized Areas upon completion of the time of use. (d) Licensee acknowledges that that, in connection with NSUSMG’s management and operation of the Facility, NSU may utilize SMG utilizes the services of third certain third-party independent contractors, including, without limitation, Ticketmaster or other ticket agencies contractors (the “Third-Party Contractors”). Licensee hereby agrees that SMG and the Owner shall not be responsible in any way for the acts and/or omissions of any one or all of the Third PartyParty Contractors.

(a) NSU ASM GLOBAL hereby grants Licensee, upon the terms and conditions hereinafter expressed, a license to use those areas of the Facility described in on Exhibit A attached hereto and made a part hereof (the “Authorized Areas”), including all improvements, furniture, fixtures, easements, rights of ingress and egress, and appurtenances thereto, during the dates and times set forth in on Exhibit A (each such use being date and time, an “Event”). (c) Licensee acknowledges that that, in connection with NSUASM GLOBAL’s management and operation of the Facility, NSU may utilize ASM GLOBAL utilizes the services of third certain third-party independent contractors, including, without limitation, Ticketmaster or other ticket agencies (the “Third Party.

It is expressly understood by the parties hereto that the Facility shall be vacated by Licensee and all persons participating in or attending an Event hereunder on or prior to the end end-time of each the last Event or after each Event if Facility is used for multiple Events listed in on Exhibit A hereto (the “Expiration Time”) and, as such, Licensee shall arrange to have all Events and activities related thereto cease within a reasonable time prior to the Expiration Time to allow ample time for the Facility to be completely vacated on or prior to the Expiration Time. (b) In the event Licensee desires to use the Authorized Areas or any other portion of the Facility at any time other than during the dates and times delineated in on Exhibit A, Licensee shall request from NSU Big3 prior written permission to use such areas of the Facility. In the event such permission is granted, Licensee shall pay as additional rent an amount equal to the sum of NSUBig3’s actual costs for performing its obligations under this Agreement during the date(s) and time(s) requested, and a fee in an amount determined by NSU Big3 to represent a fair value for use of such additional areas of the Facility during such date(s) and time(s). (c) Licensee acknowledges that that, in connection with NSUBig3’s management and operation of the Facility, NSU may utilize Big3 utilizes the services of third certain third-party independent contractors, including, without limitation, Ticketmaster or other ticket agencies contractors (the “Third PartyThird-Party Contractors”). Licensee hereby agrees that Big3 and the Owner shall not be responsible in any way for the acts and/or omissions of any one or all of the Third-Party Contractors.

Use of the Facility. (a) NSU The parties acknowledge that this Agreement is a license only, and Owner hereby grants Licensee, upon the terms and conditions hereinafter expressedset forth herein, including the terms and conditions set forth in Exhibit A, Exhibit B, Exhibit C, Exhibit D, and Exhibit E attached hereto and made a license part hereof, the right to use those areas of the Facility described in on Exhibit A attached hereto and made a part hereof incorporated herein (the “"Authorized Areas”"), including all improvements, furniture, fixtures, easements, rights of ingress and egress, and appurtenances thereto, during the dates and times set forth in on Exhibit A (each such use being date and time, an “"Event”"). It is expressly understood by the parties hereto that the Facility shall be vacated by Licensee and all persons participating in or attending an Event hereunder on or prior to the end end-time of each the last Event or after each Event if Facility is used for multiple Events listed in on Exhibit A hereto (the “"Expiration Time”") and, as such, Licensee shall arrange to have all Events and activities related thereto cease within a reasonable time prior to the Expiration Time to allow ample time for the Facility to be completely vacated on or prior to the Expiration Time. (b) In the event Licensee desires to use the Authorized Areas or any other portion of the Facility at any time other than during the dates and times delineated in on Exhibit A, Licensee shall request from NSU Owner prior written permission to use such areas of the Facility. In the event such permission is granted, Licensee shall pay as an additional rent fee an amount equal to the sum of NSU’s Owner's actual costs for performing its obligations under this Agreement during the date(s) and time(s) requested, and a fee in an amount determined by NSU Owner to represent a fair value for use of such additional areas of the Facility during such date(s) and time(s). (c) Licensee acknowledges that that, in connection with NSU’s Owner's management and operation of the Facility, NSU may utilize Owner utilizes the services of third certain third-party independent contractors, includingcontractors ("Third-Party Contractors"). Licensee hereby agrees that Owner shall not be responsible in any way for the acts and/or omissions of any one or all of the Third-Party Contractors, without limitation, Ticketmaster or other ticket agencies (the “limitation on all available remedies which Licensee may assert against Third PartyParty Contractors.
