Common use of User Content Clause in Contracts

User Content. The Coin Up Service may now or in the future permit you and other users to post or link media, text, audio and video recordings, photos, graphics, commentary or other information or content (“User Content”), and to host and/or share such User Content. User Content is not controlled by Company. Company makes no representations that your User Content will remain available via the Service in any way and may remove your User Content in its sole discretion. YOU UNDERSTAND THAT ANY USER CONTENT THAT YOU POST FOR VIEWING ON THE SERVICE IS MADE PUBLICLY AVAILABLE TO USERS OF THE SERVICE, AND COMPANY DOES NOT GUARANTEE ANY CONFIDENTIALITY WITH RESPECT TO ANY SUCH USER CONTENT. NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATED. By submitting User Content to Company, you hereby grant Company and its affiliates a worldwide, non-exclusive, fully paid-up, royalty-free, transferable license, with the right to grant and authorize sublicenses, to use, reproduce, distribute, modify, adapt, translate, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with the Coin Up Service and Company’s business, including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) in any media formats and through any media channels. The above licenses granted by you in User Content you submit to the Coin Up Service shall be perpetual and irrevocable, except that with respect to any User Content that you have removed or deleted while maintaining your Coin Up Service user account, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from you to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Company. You understand and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary herein, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own User Content and the consequences of posting such Content. In connection with User Content, you affirm, represent, and/or warrant that: (i) you own, or have the necessary licenses, rights, consents, and permissions to use and authorize Company to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use of User Content in the manner contemplated by Company and these Terms, and to grant the rights and license set forth in this Section, and (ii) your User Content, Company’s use of such User Content pursuant to these Terms, and Company’s exercise of the license rights set forth in this Section, do not and will not:

YOU UNDERSTAND THAT ANY USER CONTENT THAT YOU POST FOR VIEWING ON THE SERVICE IS MADE PUBLICLY AVAILABLE TO USERS OF THE SERVICEaccordance with your and your Subscriber’s (if your use of Xxxxx Digital is in connection with a Subscriber) instructions and permissions in the course of our operation of Xxxxx Digital, AND COMPANY DOES NOT GUARANTEE ANY CONFIDENTIALITY WITH RESPECT TO ANY SUCH USER CONTENT. NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATED. By submitting by posting your User Content to Company, you hereby grant Company and its affiliates a worldwide, non-exclusive, fully paid-up, royalty-free, transferable license, with on Xxxxx Digital. We also have the right to grant utilize data capture, syndication and authorize sublicensesanalysis tools, and other similar tools, to useextract, reproducecompile, distribute, modify, adapt, translate, prepare derivative works of, display, performsynthesize, and otherwise exploit your analyze data or information concerning access and use of Xxxxx Digital (but not User Content) by you and other Users. We solely own the results of such extractions, compilations, syntheses and analyses, may use them for any lawful business purpose without accounting to you or any other User, and may distribute them without accounting to you or any other User as long as no User Content or other personally identifiable information is revealed and the information is reported only in connection with the Coin Up Service and Company’s business, including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) in any media formats and through any media channels. The above licenses granted by you in User Content you submit to the Coin Up Service shall be perpetual and irrevocable, except that with respect to any User Content that you have removed or deleted while maintaining your Coin Up Service user account, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from you to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Companyaggregated form. You understand represent and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary herein, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own User Content and the consequences of posting such Content. In connection with User Content, you affirm, represent, and/or warrant that: (i) you own, own the User Content posted by you or otherwise have the necessary licenses, rights, consents, and permissions to use and authorize Company to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use of User Content in the manner contemplated by Company and these Terms, and right to grant the rights and license set forth in this Sectionsection, and (ii) the posting of your User ContentContent does not violate the privacy rights, Company’s publicity rights, copyrights, trademarks, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing to any person by reason of any User Content posted to Xxxxx Digital using your IDs. We are committed to ensuring that Xxxxx Digital remains a safe place to view content. To that end, you may not use Xxxxx Digital to post or process User Content that is prohibited (see Section 1 above). We and your Subscriber (if your use of such Xxxxx Digital is in connection with a Subscriber) have the sole discretion to determine whether User Content pursuant to these Termsis prohibited, and Company’s exercise of the license rights set forth in this Section, any User Content submitted to Xxxxx Digital may be subject to examination from time to time. Although we do not and will not:not examine or otherwise review all User Content submitted or transmitted to Xxxxx Digital, we may delete, move, and edit any content for any reason, at any time, without notice, if you are an individual paid user and grant your Subscriber the right to examine and review your User Content and personal information if your use of Xxxxx Digital is in connection with a Subscriber.

User Content. The Coin Up Service may now or in the future permit you 6.1 Cogniteam allows all its Licensed Product's Customers to submit, post, transmit, and share content with other users under the following terms: • Cogniteam simply displays or makes the User Content available to post its Licensed Product's Customers and does not otherwise control the content thereof. • Cogniteam does not guarantee any accuracy or link mediaconfidentiality with respect to any information contained in any User Content, textand strongly recommends that each Customer thinks carefully about what he transmits, audio submits or posts to or through the Licensed Product. • The Customer understand that all information contained in User Content is the sole responsibility of the person from whom such User Content originated. This means that each Customer, and video recordingsnot Cogniteam, photosis entirely responsible for all User Content that he uploads, graphicsposts, commentary transmits, or otherwise make available, as well as for any actions taken by Cogniteam or other information or content (“User Content”), and to host and/or share users as a result of such User Content. • Cogniteam intends to, but does not guarantee that it will, display or make any User Content is not controlled by Company. Company makes no representations that your available on or through the Licensed Product, and Cogniteam reserves the right to refuse to allow any User Content, or to edit or remove any User Content will remain available via the Service in at any way and may remove your time with or without prior notice, if Cogniteam reasonably believes that such User Content are in its sole discretionviolation of this User License Agreement or otherwise disrupt or threaten the Licensed Product. YOU UNDERSTAND THAT ANY USER CONTENT THAT YOU POST FOR VIEWING ON THE SERVICE IS MADE PUBLICLY AVAILABLE TO USERS OF THE SERVICE, AND COMPANY DOES NOT GUARANTEE ANY CONFIDENTIALITY WITH RESPECT TO ANY SUCH USER CONTENT. NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATED. By submitting Customer agrees to immediately take down any User Content that violates this User License Agreement, including pursuant to Companya take-down request from Cogniteam. In the event that Customer elects not to comply with a request from Cogniteam to take down certain User Content, you Cogniteam reserves the right to directly take down such User Content, or to suspend or terminate Customer's License Agreemnt. • By uploading or submitting any User Content, customer hereby grant Company grants Cogniteam and its affiliates and partners a worldwide, non-exclusive, fully paid-up, royalty-freefree license to reproduce, transferable license, with the right to grant and authorize sublicenses, to use, reproducereformat, distribute, modify, adapt, translate, prepare derivative works of, publicly display, perform, and otherwise exploit publicly perform your User Content in connection with providing the Coin Up Service customer and Company’s businessother users with the services, including without limitation features and functionalities available on or through the Licensed Product; provided, that for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) in any media formats and through any media channels. The above licenses granted by you in User Content you submit to the Coin Up Service shall be perpetual and irrevocable, except that with respect to any User Content that you have removed is subject to an open source license, Cogniteam’s rights shall be limited to the rights granted under the applicable open source license. • The Service requires the Customer to specify or deleted while maintaining your Coin Up Service user account, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding upload the termination of the foregoing license from you terms under which other users will be licensed to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Company. Cogniteam may request that Customer immediately remedy any issue it discovers in his User Content and retains the right to remove any User Content at any time without notice for any valid business or technical reasons, such as if security vulnerabilities are identified in such User Content. • Customer understands that User Content made available on or through the Service comes from a variety of sources and that Cogniteam does not endorse and is not responsible for the accuracy, usefulness, or intellectual property rights in of or relating to such User Content. Customer understands that Cogniteam cannot, and to any and does not, review all User Content and does not endorse any User Content. Customer further understands and acknowledges that he may be exposed to enable inclusion User Content that is inaccurate, misleading, infringing, or otherwise objectionable. Customer agrees to waive, and hereby does waive, any legal or equitable rights or remedies he has or may have against Cogniteam with respect thereto. • Customer agrees that Cogniteam has no responsibility or liability for the deletion or failure to store any User Content and other communications maintained on or transmitted through use of the Licensed Product. Customer further acknowledges that he is solely responsible for securing and backing up any User Content in or other communication he uploads or transmits to or through the manner contemplated by Company and these Terms, and to grant the rights and license set forth in this Section, and (ii) your User Content, Company’s use of such User Content pursuant to these Terms, and Company’s exercise of the license rights set forth in this Section, do not and will not:Licensed Product.

NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATED. By submitting author and owner of all rights to the User Content or have all necessary permissions; your submission is in accordance with these Terms and any other guidance we provide on the Platform; and your submission complies with all applicable laws and regulations. We retain sole discretion to Companyremove any User Content from our Platform for any reason. You will not submit User Content that may cause injury to any person or entity; is false or misleading; infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights; violates anyone’s rights to privacy or publicity; violates any law or regulation; includes content or links to content that could be considered defamatory, libelous, knowingly false, fraudulent, indecent, violent, obscene, profane, hateful, racially or religiously biased, threatening, or harassing; is inconsistent with the safe and proper use of any Whirlpool product or service; or promotes commercial activities and/or sales without our prior written consent. Other than your personal information (e.g., your name, address, and email address), you hereby grant Company us and its our authorized third-party affiliates a worldwide, non-exclusiveperpetual, fully paid-upirrevocable, royalty-free, transferable licenselicense to your User Content, with including any username or social media handle you used when submitting the User Content. This includes the right to grant and authorize sublicenses, to use, reproduce, distributecopy, modify, adapt, publish, translate, prepare transform, create derivative works offrom, displaysell, perform, and otherwise exploit and/or distribute your User Content. You acknowledge that all your User Content in connection may be used and shared by us with the Coin Up Service and Company’s businessthird parties. YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE PLATFORM, including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) in any media formats and through any media channelsYOUR USER CONTENT, OTHERS’ USER CONTENT THAT YOU CHOOSE TO USE, AND ANY CONSEQUENCES THEREOF. The above licenses granted by you in User Content you submit to the Coin Up Service shall be perpetual and irrevocable, except that with respect to any User Content that you have removed or deleted while maintaining your Coin Up Service user account, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from Social Media We welcome you to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Company. You understand and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary herein, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own share User Content and the consequences of posting such Contentinformation about our products and services through social media. In connection with User ContentWhen you use social media to share Platform content, you affirm, represent, and/or warrant that: (i) you own, or have grant us the necessary licenses, rights, consents, right to reproduce and permissions publish your social media posting and to use the username / social media handle that you used when sharing the content. You are responsible for complying with the terms and authorize Company to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use conditions of User Content in the manner contemplated by Company and these Terms, and to grant the rights and license set forth in this Section, and (ii) your User Content, Company’s use of such User Content pursuant to these Terms, and Company’s exercise of the license rights set forth in this Section, do not and will not:social media platforms.

YOU UNDERSTAND THAT ANY USER CONTENT THAT YOU POST FOR VIEWING ON THE SERVICE IS MADE PUBLICLY AVAILABLE TO USERS OF THE SERVICE, AND COMPANY DOES NOT GUARANTEE ANY CONFIDENTIALITY WITH RESPECT TO ANY SUCH USER CONTENT. NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATEDbusiness partners may retain back-up or archival copies notwithstanding such termination. By submitting uploading or providing User Content to CompanyContent, you hereby grant Company Sawgrass and its affiliates business partners, including Producers, a nonexclusive, worldwide, non-exclusive, fully paid-up, royalty-free, transferable licenseirrevocable, with the right to grant and authorize sublicensessub-licensable, perpetual license to use, display, edit, modify, reproduce, distribute, modifystore, adapt, translate, and prepare derivative works ofof such User Content in order to enable Sawgrass and its business partners to promote, displayprovide and enhance the Services, perform, and otherwise exploit including to enable Producers to produce Your Products. You agree not to assert any moral rights or rights of publicity against Sawgrass or its business partners for using your User Content in connection accordance with the Coin Up Service scope of such license, and Companyyou recognize Sawgrass’s business, including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) its business partners’ legitimate interest in any media formats and through any media channels. The above licenses granted by you in using your User Content you submit in accordance with this license to the Coin Up Service shall be perpetual and irrevocable, except that with respect to any extent your User Content contains any personal information. You represent and warrant that you have removed or deleted while maintaining your Coin Up Service user account, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding all the termination of rights necessary to grant Sawgrass and its business partners the foregoing license from you and to Company, specifically identifying the item(s) of allow Sawgrass and others to use your User Content to which for such termination appliespurposes anywhere in the world, in which case and that neither your User Content nor any of Your Products infringes the foregoing license will terminate within a commercially reasonable time after you provide such notice to CompanyIntellectual Property Rights or other rights of third parties or violates any applicable Law. You understand acknowledge and agree, however, agree that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary herein, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own User Content and the consequences of posting such Content. In connection with User Content, you affirm, represent, and/or warrant that: (i) you own, or have the necessary licenses, rights, consents, and permissions to use and authorize Company to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use of User Content in the manner contemplated by Company and these Terms, and to grant the rights and license set forth in this Section, and (ii) your User Content, Company’s use of Your Products and certain information about your activities on GO Exchange or GO Expression will be displayed to and viewed by other users and/or may become publicly available and that, as a result, any such User Content pursuant to these Termsor Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, and Company’s exercise that all uploading and sharing of User Content, Your Products and other information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the license rights set forth in this Section, do not right at any time to review and will not:delete any User Content and any Products from GO Exchange and GO Expression.

User Content should only contain audio, video, images or the likeness of the individual submitting the User Content and should not contain any copyrighted or trademarked content or material of any third party. User Content should not include audio, video, images or the likeness of anyone other than the individual submitting the User Content. You expressly agree that we have no responsibility for or control over the User Content is you may transmit using the Services. Although we do not controlled by Company. Company makes no representations that actively monitor, regulate or pre-screen your use of the Services, we reserve the unconditional right (but not the obligation) to remove, move or edit any User Content will remain available via we in our sole discretion consider harmful, offensive or unprofessional, disruptive, in violation of law, regulation or any agreement, including, without limitation: ▪ Content which is or may be in violation of this Agreement; ▪ Content that could reasonably be construed as a violation of federal, state or international law prohibiting anti-competitive activities or unfair trade practices. For example, participants should not discuss detailed salary, wage, or benefit pay by a company or industry, since such a discussion might fall outside of the Service FTC/Dept. of Justice safe harbor provisions for sharing of salary, wage, and benefits information. ▪ Content that infringes any other person or entity's copyright, trademark, service xxxx, trade dress or privacy-related rights. ▪ Content that is unprofessional or is harmful to the image of the HR profession. We have no liability or responsibility to you or any other person or entity for performance or nonperformance of such monitoring activities. Persons found in any way and violation of this Section may remove your User Content have their access to the Services blocked, and, in its sole discretion. YOU UNDERSTAND THAT ANY USER CONTENT THAT YOU POST FOR VIEWING ON THE SERVICE IS MADE PUBLICLY AVAILABLE TO USERS OF THE SERVICEcertain cases, AND COMPANY DOES NOT GUARANTEE ANY CONFIDENTIALITY WITH RESPECT TO ANY SUCH USER CONTENT. NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATEDSHRM membership discipline procedures may be initiated. In addition, by using the Coin Up Service Services, you agree to release, hold harmless, indemnify and Company’s businessdefend the Society for Human Resource Management and its advertisers from any and all legal or civil actions and penalties and costs, including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) in attorneys' fees, arising from any media formats and through any media channels. The above licenses granted by you in User Content you submit to the Coin Up Service shall be perpetual and irrevocable, except that with respect to any User Content that you have removed or deleted while maintaining your Coin Up Service user account, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from you to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Company. You understand and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary herein, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own User Content and the consequences of posting such Content. User Content. a. The Coin Up Service Corpay Site may now allow you to post, upload, transmit through or in the future permit you and otherwise make your content (e.g., feedback, comments, reviews, photos or other content) available to other users to post or link mediaof the Corpay Site (collectively, text, audio and video recordings, photos, graphics, commentary or other information or content (“User Content”). Corpay is not obligated to, and to host and/or share such does not regularly review, prescreen, monitor, delete, or edit User Content. You represent that (a) any User Content you provide is not controlled by Company. Company makes no representations that your complete and accurate; (b) you own or otherwise control all the rights to such User Content will remain available via and have the Service authority to grant rights in any way and may remove your such User Content as set forth in these Terms of Use; and (c) such User Content does not violate any provision in these Terms of Use and will not cause injury to any person or entity. Corpay shall not be liable to you for any loss caused by your failure to comply with this Section. Corpay shall have the right, Xxxx@Xxxxxx.xxx Xxxxxx.xxx but not the obligation, in its sole discretion. YOU UNDERSTAND THAT ANY USER CONTENT THAT YOU POST FOR VIEWING ON THE SERVICE IS MADE PUBLICLY AVAILABLE TO USERS OF THE SERVICE, AND COMPANY DOES NOT GUARANTEE ANY CONFIDENTIALITY WITH RESPECT TO ANY SUCH USER CONTENT. NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATED. By submitting to edit, move, delete or remove any User Content to Companymade available through the Corpay Site, for any reason, including a breach of these Terms of Use or violation of law. You, however, are solely responsible for any User Content provided by you hereby grant Company and you will defend (at Corpay’s option), indemnify and hold harmless Corpay, and its affiliates a worldwideofficers, non-exclusivedirectors, fully paid-upcontractors, royalty-freeaffiliates, transferable licensebusiness partners, with employees and other representatives (collectively, the right to grant “Corpay Indemnitees”) from and authorize sublicensesagainst all losses, to use, reproduce, distribute, modify, adapt, translate, prepare derivative works of, display, performliabilities, and otherwise exploit your User Content in connection with the Coin Up Service and Company’s business, costs (including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereofreasonable attorneys’ fees) in resulting from any media formats and through any media channels. The above licenses granted by you in User Content you submit to the Coin Up Service shall be perpetual and irrevocable, except that with respect to any User Content that you have removed or deleted while maintaining your Coin Up Service user accountprovide in, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from you to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Company. You understand and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary hereinthrough, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own User Content and the consequences of posting such Content. In connection with User Content, you affirm, represent, and/or warrant that: (i) you own, or have the necessary licenses, rights, consents, and permissions to use and authorize Company to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use of User Content in the manner contemplated by Company and these Terms, and to grant the rights and license set forth in this Section, and (ii) your User Content, Company’s use of such User Content pursuant to these Terms, and Company’s exercise of the license rights set forth in this Section, do not and will not:Corpay Site.

NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATED. By submitting User Content to Company, you hereby grant Company and its affiliates a worldwide, non-exclusive, fully paid-up, royalty-free, transferable license, with the right to grant and authorize sublicenses, to use, reproduce, distribute, modify, adapt, translate, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with the Coin Up Service and Company’s business, including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) in any media formats and through any media channels. The above licenses granted by you in User Content you submit to through the Coin Up Service shall be perpetual Service, and irrevocablethat you, except that with respect to any User Content that you have removed or deleted while maintaining your Coin Up Service user accountand not IAA, or any User Content following any deactivation or deletion willbear full responsibility for each item of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from you to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Company. You understand and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary herein, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own User Content and the consequences of posting such Content. In connection with User Content, you affirmincluding its legality, representreliability, and/or warrant that: (i) you ownappropriateness, originality and copyright. Except where otherwise expressly provided by IAA or have the necessary licensesIAA’S Privacy Policy, all such User Content shall be PROVIDED ON A NON-CONFIDENTIAL BASIS with no obligation on our part to keep such information secret. You retain all rights, consents, title and permissions to use and authorize Company to use, all patent, trademark, copyright, or other proprietary rights interest in and to any and all User Content that you provide via the Service. Nonetheless, except as otherwise expressly provided by IAA, you agree that by submitting any User Content to enable inclusion IAA on or through the Service, you hereby grant to IAA a non-exclusive, perpetual, irrevocable, worldwide, unrestricted, sublicenseable, royalty-free right and license to reproduce, copy, modify, adapt, publish, translate, create derivative works based on, distribute, perform, display and/or otherwise use of any such User Content in the manner contemplated by Company and these Termsour sole discretion, including incorporating any such User Content in other works in any form, media, or technology now known or hereafter developed, and you represent and warrant that all moral rights or other non-assignable rights in uploaded User Content been waived for the benefit of IAA and its successors, assigns and licensees. You agree not to grant upload on or transmit to or via the Service any User Content which: (i) infringes or otherwise violates any copyright, patent, trademark, trade secret, trade name or other proprietary right or the privacy rights and license set forth in this Section, and of any individual; (ii) your User Contentis defamatory, Company’s use libelous, harassing, expresses hate, or is unlawfully threatening; (iii) is pornographic, obscene or exploitative of such a minor; (iv) contains or embodies a virus, worm, Trojan horse or other contaminating or destructive feature; or (v) otherwise violates any applicable treaty, law, rule or regulation. IAA does not necessarily endorse, support, sanction, encourage, verify, or agree with any comments, opinions, or statements of third parties as may be displayed on or transmitted via the Service. Any information or materials placed on the Service by third parties arethe views and responsibility of those who post the statements, and do not necessarily represent theviews of IAA. IAA reserves the right in its solediscretion to filter, censor, edit or regulate User Content pursuant to these Terms, and Company’s exercise of the license rights set forth in other information provided by third parties on this Section, do not and will not:Service.

YOU UNDERSTAND THAT ANY USER CONTENT THAT YOU POST FOR VIEWING ON THE SERVICE IS MADE PUBLICLY AVAILABLE TO USERS OF THE SERVICEthat you submit or post to the Sites or Service and/or provide us will be treated as nonconfidential and nonproprietary, AND COMPANY DOES NOT GUARANTEE ANY CONFIDENTIALITY WITH RESPECT TO ANY SUCH USER CONTENT. NOR DOES IT GUARANTEE THAT YOUR INTELLECTUAL OR PROPRIETARY RIGHTS IN SUCH USER CONTENT WILL NOT BE INFRINGED OR MISAPPROPRIATED. By submitting User Content and you grant to Company, you hereby grant Company ProServe and its affiliates a perpetual, worldwide, non-exclusive, fully paid-up, royalty-free, transferable licensetransferable, with the sub-licensable license and right to grant and authorize sublicensescopy, to use, reproducetransmit, distribute, modifypublicly perform and display (through all media now known or hereafter created), adapt, translate, prepare and make derivative works of, display, perform, and otherwise exploit from your User Content in connection with the Coin Up Service and Company’s business, including without limitation for promoting and redistributing part or our commercially reasonable purposes. You further grant all users of the Coin Up Sites or Service (Service permission to view your User Content for their personal, non- commercial purposes, or for other purposes authorized by ProServe via the Sites and derivative works thereof) in any media formats and through any media channelsService. The above licenses granted by will continue unless and until you in remove or have removed your User Content you submit to from the Coin Up Service shall be perpetual and irrevocable, except that with respect to any User Content that you have removed Sites or deleted while maintaining your Coin Up Service user account, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from you to Company, specifically identifying the item(s) of User Content to which such termination appliesService, in which case the foregoing license licenses will terminate within a commercially reasonable time after period of time. Notwithstanding the foregoing, the license for legal archival/preservation purposes will continue indefinitely, and you provide acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Sites or Service (“Feedback”), provided by you to ProServe are non-confidential and ProServe will be entitled to the unrestricted use and dissemination of such notice Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to Companyyou. Please note that if you delete User Content, we will use reasonable efforts to remove it from the Sites or Service, but you acknowledge that caching or references to the User Content may not be made immediately unavailable. You understand represent and agree, however, warrant that even following such termination, Company may retain, but not display you own or perform, server copies otherwise control all of such User Content. Notwithstanding anything the rights to the contrary hereinreviews, comments and other User Content that you post on this Site and that use of your reviews, comments, or other User Content by us will not infringe upon or violate the above licenses granted by you in user comments you submit are perpetual and irrevocablerights of any third party. You shall not use a false e-mail address, pretend to be solely responsible for your own User Content and someone other than yourself or otherwise mislead us or third parties as to the consequences origin of posting such Content. You acknowledge that ThriveFantasy may or may not pre-screen User Content, but that ThriveFantasy and its designees have the right (but not the obligation) in their sole discretion to pre-screen, refuse, permanently delete, undelete, modify and/or move any User Content is not controlled by Company. Company makes no representations that your User Content will remain available via the Service in Service. Without limiting the foregoing, ThriveFantasy and its designees shall have the right to remove any way and may remove your User Content that violates these Terms or is otherwise objectionable in its ThriveFantasy’s sole discretion. With respect to User Content you submit or otherwise make available on or to the Service, you hereby grant Company and its affiliates a worldwide, non-exclusiveThriveFantasy an irrevocable, fully paidsub-uplicensable, perpetual, world-wide, royalty-free, transferable license, with the right to grant and authorize sublicenses, non-exclusive license to use, distribute, reproduce, distribute, modify, adapt, publish, translate, prepare derivative works of, display, performpublicly perform and publicly display such User Content (in whole or in part), and otherwise exploit your to incorporate such User Content in connection with the Coin Up Service and Company’s businessinto other works, including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) in any media formats and through any media channels. The above licenses granted by you in User Content you submit to the Coin Up Service shall be perpetual and irrevocable, except that with respect to any User Content that you have removed format or deleted while maintaining your Coin Up Service user account, medium now known or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from you to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Companylater developed. You understand and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary herein, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own User Content interactions with other users of the Service. Chalk reserves the right, but has no obligation, to monitor disputes between you and other users. Termination and Suspension Chalk may terminate your access to the consequences Service, without cause or notice, which may result in the forfeiture and destruction of posting such Contentall information associated with your account. In connection with User ContentAll provisions of this Agreement that, you affirmby their nature, representshould survive termination shall survive termination, and/or warrant that: (i) you ownincluding, or have the necessary licenseswithout limitation, rightsownership provisions, consentswarranty disclaimers, indemnity, and permissions limitations of liability. If your account is subject to use a suspension, please respect the restrictions and authorize Company to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use of User Content in the manner contemplated by Company and these Terms, and to grant the rights and license set forth in this Section, and (ii) limitations imposed on your User Content, Company’s use of such User Content pursuant to these Terms, and Company’s exercise account as part of the license rights set forth in this Section, do not suspension. By submitting User Content to Company, you hereby grant Company and its affiliates a worldwide, non-exclusive, fully paid-up, royalty-free, transferable license, with the right to grant and authorize sublicenses, to use, reproduce, distribute, modify, adapt, translate, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with the Coin Up Service and Company’s business, including without limitation for promoting and redistributing part or all of the Coin Up Service (and derivative works thereof) in any media formats and through any media channels. The above licenses granted content posted by you in User Content you submit to the Coin Up Service shall be perpetual and irrevocable, except that with respect to or by users of any User Content that you have removed or deleted while maintaining your Coin Up Service user account, or any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding websites hosted through the termination of the foregoing license from you to Company, specifically identifying the item(s) of Services (“User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to CompanyWebsites”). You understand and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content. Notwithstanding anything to the contrary herein, the above licenses granted by you in user comments you submit are perpetual and irrevocable. You shall be solely responsible for your own User Content and the consequences of posting such Content. In connection with User Content, you affirm, represent, and/or warrant that: (i) you own, or have the necessary licenses, rights, consents, and permissions to use and authorize Company to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use of any transactions or other activities conducted on or through User Websites. However, you acknowledge and agree that AddoMail may, but is not obligated to, immediately take any corrective action in AddoMail’s exercise sole discretion, including without limitation removal of all or a portion of the license rights set forth in User Content or User Websites, and suspend or terminate any and all Services without refund if you violate the terms of this Section, do not and will not:Agreement. You hereby agree that AddoMail shall have no liability due to any corrective action that AddoMail may take.

Private storage options utilized by you shall remain secure and private within the future permit best efforts of our encryption technology. You understand that with respect to public file storage you and other users have no expectation of privacy regarding such communications. With respect to post or link mediaprivate communications, text, audio and video recordings, photos, graphics, commentary or other information or content (“User Content”), and to host and/or we shall only share such communications upon your prior consent unless we are required to share such communication by operation of the law (e.g., subpoena, investigation, court order, etc…). The above licenses granted by you in User Content you submit to the Coin Up Service, or transmit to other users of the Service, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, or rights of privacy or publicity). You will not provide inaccurate, misleading or false information to us or to any other User of the Service. If information provided to us, or another user of the Service, subsequently becomes inaccurate, misleading or false, you will promptly notify us of such change. WE HAVE NO ABILITY TO DELETE FILES OR COMMUNICATIONS THAT YOU ADD TO THE PERMAWEB. We disclaim any responsibility for the backup and/or retention of any User Content following any deactivation or deletion of your Service user account, you may specifically notify Company regarding the termination of the foregoing license from you to Company, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license will terminate within a commercially reasonable time after you provide such notice to Company. You understand and agree, however, that even following such termination, Company may retain, but not display or perform, server copies of such User Content.
