Vacancy of a Director. If a vacancy in the Board occurs, owing to the resignation, death or disability of a Director, then the Shareholder who nominated the member of the Board who cannot continue being a member may nominate a new individual and the Shareholders shall vote and cause their respective nominated Directors to vote, as soon as possible, so as to elect such individual as a new member of the Board.

  • Vacancy on Board If a vacancy occurs on the Board, including a vacancy resulting from an increase in the number of directors, the Board shall fill the vacancy, and if the directors remaining in office constitute fewer than a quorum of the Board, they may fill the vacancy by the affirmative vote of a majority of all the directors remaining in office. A vacancy that will occur at a specific later date may be filled before the vacancy occurs, but the new director may not take office until the vacancy occurs.

  • Vacancy Any vacancy occurring for any reason in the number of Managers shall be filled by the Member. A Manager elected to fill a vacancy shall be elected for the unexpired term of the predecessor in office.

  • Removal, Resignation and Filling of Vacancy of Officers The Managing Member may remove any Officer, for any reason or for no reason, at any time.
